Governance Explanations

Form 990, Part VI, Line 1A

Pursuant to the bylaws, the executive committee has the power and authority of the board to transact all regular business of the organization and such other matters as may be delegated to it in the intervals between meetings of the board subject to any prior limitation imposed by the board or by statute. Matters of major importance brought before the executive committee shall be referred to the board. The executive committee consists of the chairman, the vice chairman, the secretary, the treasurer and up to two members at large. Form 990, part vi, line 4 in october 2015, articles of amendment and merger were filed with the state of arizona, along with an agreement and a plan of merger, to effect the merger of john c. Lincoln health foundation into scottsdale healthcare foundation (shf). The merger is effective january 1, 2016. All property of john c. Lincoln health foundation was transferred to shf as the remaining corporation. As part of the merger, shf was renamed honorhealth foundation.

Upon merger of john c. Lincoln health network into scottsdale healthcare hospitals (dba honorhealth) on january 1, 2015, honorhealth became the sole member of desert mission, inc.

The board of honorhealth has the authority to approve or disapprove the following: any proposal for the merger, consolidation or dissolution of the corporation; any amendment to the articles of incorporation or bylaws; proposed operating and capital budgets for the corporation; any proposed borrowing with certain exceptions; any purchase, sale, lease, exchange, disposition, etc of any asset in excess of a certain dollar value; the engagement or disengagement of the independent auditor and corporate counsel; any transaction in which a director or officer has a material financial interest; and any transaction of the corporation which the honorhealth board determines to represent a major transaction or major policy issue.

Form 990, Part VI, Line 11B

The tax return information is gathered by the finance team from various sources within the organization including human resources, payroll, development and the legal department. The information is reviewed by the honorhealth controller and provided to an accounting firm that prepares the tax returns. An initial draft of the form 990 is submitted to honorhealth's controller and chief financial officer, and the president of the foundation for review. Comments from those individuals are considered and incorporated into a revised draft that is presented to the honorhealth board of directors prior to filing. The board of directors reviews the revised draft and submits comments to the honorhealth controller. Comments from those individuals are considered and incorporated into a final draft prepared for filing.

Form 990, Part VI, Line 12C

The conflict of interest policy and disclosure form is sent to every board member, corporate officer, executive, and key employee on an annual basis. The information from completed disclosure forms is reviewed by honorhealth, a related entity, for purposes of determining independence. Additionally, the honorhealth compliance committee reviews all employee disclosures. A summary report of the disclosures recommendations related to independence are submitted to the network board for approval. The conflict of interest policy requires volunteers and staff to self-report conflicts at the time they arise and complete an updated disclosure form. During the course of committee or board meetings, board members disclose any conflicts related to the agenda item/discussion and abstain from voting. Whenever appropriate, the board member would be excused from the room during discussion and voting. If a board member is interested in conducting business with the network, the conflict of interest policy requires him or her to initiate that process through the organizations ceo and not any other executive or employee.

The president of john c. Lincoln health foundation and certain executives are compensated by honorhealth, a related tax-exempt organization. The process described below is that of honorhealth. An executive compensation consultant conducts detailed market analysis for executive cash compensation. The consultant utilizes available published healthcare survey sources. Executive positions are matched to appropriate survey positions based on job content, duties and scope of responsibility. Survey data is matched from organizations of similar size and scope. Results of the study are shared with the board for approval. The study was last completed in 2015.

The john c. Lincoln health foundation provides philanthropic support for scottsdale healthcare hospitals (dba honorhealth), a local not-for-profit healthcare and human services organization. Our mission is to support healthcare and community service programs of the organization through innovative fundraising strategies; prudent investment of all donations; active volunteer participation; appropriate acknowledgment and recognition of donors and volunteers; and promotion of the services of the network in the community. The john c. Lincoln health foundation conducts fundraising and development programs for the benefit of all honorhealths various entities, which includes these related organizations recognized as tax-exempt under section 501(c)(3) of the internal revenue code and section 43-1201 of the arizona revised statutes: honorhealth desert mission, inc. Desert mission neighborhood renewal the foundation provides opportunities for donors to invest in and provide long-term impact to the organizations charitable mission through: annual and capital gifts, planned giving, corporate collaborations and special events.

The temporarily restricted net assets also include funds restricted by donors to a specific time period or purpose. As part of john c. Lincoln health foundation's merger with honorhealth foundation, all endowment assets transferred to honorhealth foundation.
