Governance Explanations

Form 990, Part VI, Section A, Line 2

One of the board members is a general contractor. He provided construction/renovation services for one or more of the other directors during this tax year. Another board member is the owner of a book store. One or more of the other board members purchased books at this store. Two of the board members are both employees of a bank. They do not work in the same office and there is no reporting relationship between them.

Form 990, Part VI, Section B, Line 11B

The Form 990 was prepared by the President of the Board of Directors of the Society. The form was emailed first to members of the Finance Committee and then to all Board members for their review before filing.

Form 990, Part VI, Section B, Line 12C

A conflict of interest questionnaire is completed by all Board members and employees annually. These are reviewed by the Board President. His form is reviewed by the Chairman of the Board.

Form 990, Part VI, Section B, Line 15

The current Executive Director was hired in September 2014. There was no change in his compensation during the 2015 Tax year.

Form 990, Part VI, Section C, Line 18

The Society provided copies of its 2014 Form 990 during the 2015 tax year when requested by potential donors and granting foundations. The Form 990 was provided by paper copy or by an electronic copy as requested. No requests for copies of the Form 990 were received from the general public during the tax year , but had they been, the a paper or electronic copy of the form would be provided in whichever format was requested. The Form 990 for tax year 2014 is also available on several websites maintained by charitable giving sites.

The Society is exempt from Federal and state taxes under the provisions of IRS Code Section 501(c)(3) and Section 23701d of the California Revenue and Taxation Code, respectively. As such, no income tax expense has been recognized. The Society is not aware of any uncertain tax positions requiring accrual for a potential liability.

IRS990/Desc0Orchestral Music Concerts: The Society presented 4 regular concerts of chamber orchestra music. An average of about 400 people attended each of these concerts. The concerts are performed by professional musicians led by a professional conductor at a local performing arts theater, the Lobero Theatre. The music is primarily orchestral music composed for 30-40 musicians. Three of the concerts were preceded by a buffet supper for 60-80 attendees as a "warm-up" to the concert. The fourth was preceded by a fund-raising event. The Society also presented one chamber music concert at a local museum. Six musicians performed to an audience of about 250.
