Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the cfo of the san diego foundation for accuracy and completeness. The board of governors has given the review authority to the audit committee. This committee has reviewed the return in its entirety prior to the filing. In addition, a complete electronic copy is provided to each of the board members prior to filing of form 990 with the irs.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is signed by each board member annually. At each subsequent board meeting, members are required to disclose any new conflicts. Any disclosures are noted in the minutes of that meeting. If a transaction arises where there is a conflict of interest, the person with such conflict is not allowed to vote on the transaction.

Form 990, Part VI, Section B, Line 15

The board of governors has authorized the compensation & benefits committee ("committee") to review the compensation of the senior staff of the san diego foundation, notably those "disqualified persons", as defined by irs intermediate sanctions regulations. The committee, comprised of five members (four of whom are also members of the board of governors), periodically obtains independent salary surveys used as an input to structure competitive compensation packages for the ceo, cfo, and any other disqualified persons, in compliance with the ca nonprofit integrity act. The committee compares that report to other salary surveys, such as the council on foundation's salary survey, and factors benefits, such as bonuses and company retirement contribution, into the decision on the overall compensation packages. A formal performance review process for the ceo includes feedback from the entire board of governors, as well as some input from other staff and volunteers. The performance evaluations for the cfo, and all other disqualified persons, are written by the ceo and discussed with the compensation & benefits committee during the salary review. This process was last completed in the fall of 2018.

There has been no change to the oversight process or selection process during the fiscal year. The financial statements of the san diego foundation and all supporting organizations are audited on a consolidated basis. The san diego foundation has an audit committee which is charged with the responsibility of oversight of the audit of its financial statements and selection of an independent accountant.

Financial Statement Notes

PART IV, LINE 2B:

The organization holds amounts on behalf of others. The funds are set up by unaffiliated non-profit organizations for their own benefit with the foundation as custodian.

PART V, LINE 4:

The san diego foundation encourages donors and agencies to open endowment funds for the purpose of ensuring future support for the non-profit agencies within the san diego region. As a permanent endowment, a portion of the earnings of the fund are granted to non-profits for either general or specific support. The amount of earnings distributed is determined by the foundation's spending policy, which at this time is to disburse 5% annually, based upon endowment principal and market value over the last 36 months. If the market value of the endowment principal of any fund is less than the initial value of all the contributions made to the endowment principal, then distributions will be limited to interest and dividends received in the current month. This ensures continual support rather than non-profits receiving large one-time grants that make budgeting for their annual operations difficult.

The foundation is exempt from income taxes under the current provisions of the internal revenue code section 501(c)(3) and section 23701(d) of the california franchise tax code. All tax-exempt entities are subject to review and audit by federal, state and other applicable agencies. Such agencies may review the taxability of unrelated business income, or the qualification of the tax-exempt entity under the internal revenue code and applicable state statutes. The foundation does not have any material uncertain tax positions.
