“The form 990 is reviewed by the cfo of the san diego foundation for accuracy and completeness. The board of governors has given the review authority to the audit committee. This committee has reviewed the return in its entirety prior to the filing. In addition, a complete electronic copy is provided to each of the board members prior to filing of form 990 with the irs.”
“The conflict of interest policy is signed by each board member annually. At each subsequent board meeting, members are required to disclose any new conflicts. Any disclosures are noted in the minutes of that meeting. If a transaction arises where there is a conflict of interest, the person with such conflict is not allowed to vote on the transaction.”
“The board of governors has authorized the compensation & benefits committee ("committee") to review the compensation of the senior staff of the san diego foundation, notably those "disqualified persons", as defined by irs intermediate sanctions regulations. The committee, comprised of five members (four of whom are also members of the board of governors), periodically obtains independent salary surveys used as an input to structure competitive compensation packages for the ceo, cfo, and any other disqualified persons, in compliance with the ca nonprofit integrity act. The committee compares that report to other salary surveys, such as the council on foundation's salary survey, and factors benefits, such as bonuses and company retirement contribution, into the decision on the overall compensation packages. A formal performance review process for the ceo includes feedback from the entire board of governors, as well as some input from other staff and volunteers.
