Srai was not able to obtain the amount paid directly to elliott for his services rendered to ram management, see schedule l for additional details.”

If a conflict arises the member does not participate in the discussion or the vote. Further, the member is required to disclose potential conflicts of interest at the time of board discussion or action if their spouse, a relative or close associate has a financial interest in an organization, or is an employee, consultant, or officer with any organization with which srai is taking board action.”

“Findings of a compensation survey from a reputable organization such as american society of association executives are provided to the board at the time of renegotiating the management service contract, with ram, to help determine the rate of compensation. The last compensation review took place in december 2014.”
