“IN OCTOBER 2023, THE ORGANIZATION AMENDED ITS BYLAWS FOR THE FOLLOWING POINTS: -Candidates who are running for an elected position on the Board of Directors or as an Officer shall not serve on the Credentials Committee. -The timeline and related due dates for the Board of Directors and Officer Elections shall be ratified by the Board. The Elections for Board of Directors and Officers shall conclude no later than September 30. The Credentials Committee shall review and report the results of the electronic ballot at the conclusion of the Board of Directors Election. -UPDATES TO VOTING PROCEDURES - Voting shall take place either in person at the Association offices, at off-site events monitored by Association staff, or by electronic balloting. Proxy or absentee ballots will not be accepted. -TERM LIMITS - All Directors are limited to no more than six (6) consecutive years. Those Elected Directors considering running for President-Elect or Treasurer may not run in their last year of their term. -EXCEPTIONS TO TERM LIMITS - A Director elected President-Elect in the penultimate year of the term, will have service extended up to two years as President or Immediate Past President. The President-Elect may serve as President in the year after the President Elect's term as a director would otherwise have ended and may be seated as a director during the year in which the person is the President and the following year when serving as the Immediate Past President. Except for persons elected President-Elect or President; after serving six (6) consecutive years, Directors cannot serve on the Board of Directors for two (2) years thereafter. Presidential appointment does not count towards the first year of a six year term limit. -SELECTION OF OFFICERS - Officers President-Elect and Secretary/Chief Financial Officer (Treasurer) for the next calendar year shall be selected from the Elected Directors by the following: Elected Directors continuing their term into the next calendar year, Current President, Current Appointed Directors (Affiliate, Independent Broker, At Large, Large Broker Directors), and Newly Elected Directors for the next calendar year. No person may serve more than two (2) consecutive terms in the same office. -REMOVAL - The President shall have the power, subject to confirmation by the Board of Directors, to remove any member from a committee. The vacancy shall be filled as provided for original appointees.”

Additionally, the organization's legal counsel annually presents to the board of directors a program entitled, "your role as a corporate director," which includes a segment on conflict of interest. The chief executive officer, chief financial officer, and director of government affairs are jointly responsible for monitoring/preventing any conflict of interest and taking appropriate measures if any such conflict arises.”
