A draft of the 990 is distributed to the BOD chair and fiscal committee for review and discussion with other board members. Once reviewed and questions have been addressed, the 990 is filed.

Form 990, Part VI, Section B, Line 12C

Employees of the corporate organization sign an acknowledgment of the conflict of interest policy at the time of hire and on an annual basis thereafter. All Directors of the Board for North County Health Project, Inc. are required to complete a Conflict of Interest attestation at the time they are nominated to the Board, and thereafter annually. Board Policy concerning Conflict of Interest has oversight by the Corporate Compliance Officer who participates in discernment of potential or real conflicts that may arise. Directors must not participate in any action in which they have a conflict, and the Board minutes must note the disclosure of the conflict and the recuse of the Directors participation.

Form 990, Part VI, Section B, Line 15

The BOD executive committee oversees the executive compensation process and approves salary increases for the President and CEO. Pay increases are based on recommendations of the compensation task force and when necessary outside sources to ensure compensation is based on objective and comparable data.

The Center has been recognized as exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and Section 23701(d) of the State of California Revenue and taxation Code by the IRS and Franchise Tax Board, respectively. Accordingly, no provision for income taxes is included in the accompanying consolidated financial statements. The Center's returns are subject to examination by federal and state taxing authorities generally for three years after they are filed.
