Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared by our outside auditor. Following the completion of a draft of the audited financial statements and a draft of form 990, the outside auditor meets with the audit committee to review the finanical statements and form 990 to assure that all representations and answers to issues, comments and questions are accurate. The drafts of the financial statements and form 990 are presented to the full board of directors by the audit committee for further comment and review prior to filing of form 990.

Form 990, Part VI, Section B, Line 12C

Each director and key employee is required to complete an annual certificate of compliance with the center's conflict of interest policy. This certificate affirms the reading and understanding of the conflict of interest policy, lists the affiliations of the individual, and certifies that the individual is in compliance with the conflict of interest policy. Changes occurring during the year in board member associations are communicated to the board liaison for updating of center conflict of interest records.

Form 990, Part VI, Section B, Line 15

The center's executive committee (subcommittee of board of directors) sets compensation for the chief executive officer (ceo). The committee gathers input for setting the ceo's compensation from local nonprofit compensation surveys, from form 990s of similar organizations in their service area, and from compensation information received from member industry associations. The deliberation and decision regarding the ceo's compensation is contemporaneously documented in the minutes of the committee. The ceo is responsible for setting the compensation of other employees in coordination with the executive committee through salary information received from similar sources as used in setting the ceo compensation. The employee compensation process and decision is documented in the applicable employee's payroll file.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and audited financial statements are available upon request.

Additional Explanations

Part XII, Line 2C

The center's audit committee has responsibility for oversight of the audit of its financial statements and selection of the independent auditor.

Financial Statement Notes

PART V, LINE 4:

Maple's endowment consists of a $2,000,000 contribution to support its briskin/wilder welcome center. The endowment period runs from february 22, 2024 through february 22, 2034, provided, however, the end date may be extended by mutual agreement of the donor and maple. The endowment comprises donor-restricted endowment funds only.

PART X, LINE 2:

Accounting standards require an organization to evaluate its tax positions and provide for a liability for any positions that would not be considered 'more likely than not' to be upheld under a tax authority examination. Management has evaluated its tax positions and has concluded that a provision for a tax liability is not necessary at calendar year-end. Generally, maple's information returns remain open for examination for a period of three (federal) or four (state of california) years from the date of filing.
