Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an external cpa firm that works with the finance department of childnet. A draft of the form 990 is reviewed by senior management and childnet's audit committee before being filed with the irs. The deputy executive officer/cfo signs the final 990 after the review is complete. All members of the board will receive a copy of the form 990 before the return is filed with the irs.

Form 990, Part VI, Section B, Line 12C

All board of directors, officers and key employees complete an annual conflict of interest disclosure statement. In general, in connection with any actual or potential conflict of interest, an insider must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board. Such disclosure must occur as soon as feasibly possible after the insider reasonably becomes aware of the actual or potential conflict of interest. After disclosure of the financial interest and all material facts to the board, and after any discussions between the board and the insider regarding the actual or potential conflict of interest, the insider shall leave the board meeting while the determination of a conflict of interest is discussed and voted upon by the board. The board alone shall decide if a conflict of interest exists. The insider may make a presentation at the board meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The board may, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board shall determine by a majority vote whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.

Form 990, Part VI, Section B, Line 15

Childnet youth and family services' governing board reviews and recommends the compensation and benefits of the ceo compensation as well as other key leadership positions of the organization. Each member of the board is independent with respect to the organization. An outside independent compensation consultant is engaged to assist the board in its determination as to the reasonableness of compensation for the ceo and other key leadership positions. The compensation consultant provides comparability data regarding the various pay elements for each leadership position including salary, bonus, deferred compensation, and benefits. In reviewing and establishing compensation ranges for each leadership position, the consultant collects background information regarding the duties and scope of the positions under review, accomplishments during the year, as well as the size and complexity of the organization's operations. The data is reviewed and analyzed by the board without any of the employees being present. Decisions are made regarding the compensation for the ceo and key leadership positions. The board maintains written records to include (1) the terms of the compensation for the ceo and each leadership position, including the date the transaction was approved (2) a list of the members present during the debate of the approved compensation transactions and those who voted on it and (3) a description of the comparability data that was relied upon and how the data was obtained.

The entity receives the vast majority of their funding on an annual basis from federal, state, county and city governmental sources. The entity spends a relatively small amount of expenses in obtaining government funding, due to the large nature of government grants.

Childnet is exempt from taxation under internal revenue code section 501(c)(3) and california revenue and taxation code section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by childnet in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. Childnet's returns are subject to examination by federal and state taxing authorities, generally for three years and four years, respectively, after they are filed.
