The form is reviewed and approved by the organization's controller. chief financial officer, and the chief executive officer. Subsequently, Form 990 with all the schedules is provided to the full board before filing with the IRS.

Form 990, Part VI, Section B, line 12C

All officers, directors and key employees are covered persons under El Proyecto del Barrio Inc's Conflict of Interest policy. An Annual Conflict of Interest Disclosure Form is required to be completed by all covered persons wherein they affirm that they 1) have received a copy of the Conflict of Interest policy; 2) have read and understand the Conflict of Interest Policy; 3) agree to comply with the Conflict of Interest policy; 4) affirm any transactions they or a family member have entered into, directly or indirectly, with El Proyecto; 5) affirm whether they or a family member held a position with an organization El proyecto has any business relationship with; 6) affirm whether they or a family member had a financial interest in any organization that El Proyecto has or is contemplating entering into a business relationship with; and 7) affirm whether they or a family member received any gifts, money, loans or other type of service or favor with a market value of $200 or more from any person or organization that has, or is seeking to have, a business relationship with El Proyecto. The board of directors reviews the Annual Disclosures and addresses any potential conflicts of interest, with any interested person abstaining from the deliberation and discussion of the matter.

El Proyecto del Barrio Inc's board of directors has a process for reviewing and approving the compensation of officers and key employees on a regular basis to determine it is fair and reasonable with the goal of retaining employees at compensation levels within appropriate market range. The process for determining the compensation paid to the CEO, officers, and key employees includes the approval of the compensation arrangement in advance, by the board of directors, with all persons with a conflict of interest abstaining from the board's deliberation and discussion. The board reviews data of comparable compensation for similarly qualified nonprofit Executives at similarly situated entities. The documentation of the board includes the terms of the transaction and the date of approval, the members who were present during the debate and vote on the transaction, a description of the comparable data and how it was obtained, and documentation of the basis for the determination.

Financial Statement Notes

Part X, Line 2:

The Company is exempt from the payment of income taxes under the Internal Revenue Code (IRC) Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Accordingly, a provision for federal or state income taxes is not recorded in the accompanying consolidated financial statements. The Company is classified as an organization that is not a private foundation under Sections 509(a)(1) and 170(b)(1)(a)(vi) of the IRC. Arleta Properties LLC, Winnetka-Sherman Way Properties LLC, Evolvement Properties LLC, El Proyecto Managed Care LLC, and Baldwin Park Properties LLC are single member limited liability companies which are disregarded entities for federal income tax purposes. For state tax purposes, except for El Proyecto Managed Care LLC, all wholly-owned subsidiaries were granted exemption from the annual limited liability company fee and the $800 annual tax. Non-exempted LLCs are subject to an annual tax of $800 plus an annual LLC fee based on total income on a progressive scale ranging from $0 to $11,790. For the years ended September 30, 2024 and 2023, El Proyecto Managed Care LLC's annual fee is $11,790. GAAP prescribe a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. The Company has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities and the federal and state levels. The primary tax positions evaluated relate to the Company's continued qualification as a tax-exempt organization and whether there are unrelated business income activities that would be taxable. Management has determined that all income tax positions, based on the technical merits of the position, will more-likely-than-not be sustained upon potential audit or examination. Therefore, no disclosures of uncertain income tax positions are required. The Company's income tax returns remain subject to examination for all tax years ended on or after September 30, 2020. Tax returns are subject to examination generally for three and four years after they were filed for federal and state, respectively.

In addition, El Proyecto operates a managed care network providing its members specialty care, emergency care services, and ancillary services (labs, pharmacy, and radiology). El Proyecto ended the fiscal year with 46,000 members. Lastly, El Proyecto operates a program to treat alcohol abuse and other substance use disorders and rendered over 22,000 outpatient visits for the year.
