Such due diligence may include the engagement of the services of a professional executive compensation specialist or consultant; such decision to hire such an individaul shall be at the discretion of the board of directors. All decisions regarding compensation are documented in the records of the corporation. All conflicts of interest of executive committee members shall be disclosed and such individuals shall be recused from the decision setting such compensation to which the confilict of interest relates.”
