“The process used for determination of the compensation of officers and top management officals for the el cajoh cemetery association consisted of and included research and comparability data obtained from independent persons in the cemetery trade, online research, including salary surveys, and contacts with other comparable cemeteries, to evaluate and determine comparable and prevailing compensation for persons performing substantially similar duties and responsibilities. This information was gathered, reviewed, and approved by an independent member of the cemetery's executive compensation committee before being presented to the organization's board of directors for its contemporaneous substantiation, deliberation and decision on the compensation. The amount of compensation paid to board members for servics that are separate from their role as an opfficer is discussed and agreed upon by a majority of the board at regularly scheduled meetings. Other than a small stipend, directors and officers do not receive compensation for being a member of the board. Board members are compensated when they provide additional services that are separate from their duties as an officer. During the year, one board member received compensation while working as the cemetery manageger.”
