Governance Explanations

Form 990, Part VI, Section A, Line 1A

Committees of trustees. The board of trustees may, by resolution adopted by a majority of the trustee then in the office, designate one or more committees, each including two or more trustees to serve at the pleasure of the board of the trustee and have such authority as the board of trustee may from time to time delegate to said committee, provided, however, that no committee shal have the authority of the board of trustee with respect to the following: (a) the approval of any action for which the california nonprofit public benefit corporation law also requires approval of members of approval of a majority of all members. (b) the filling of vacancies on the board of trustees or in any committee that is a committee of the board. (c) the fixing of compensation of the trustees for serving on the board of the trustees or on any committee that is a committee of the board. (d) the amendment or repeal of the articles of incorporation or bylaws or adoption of new article of incorporation or bylaws. (e) the amendment or repeal of the any resolution of the board of trustees which by its express terms is not so amendable or repealable. (f) the appointment of other committes of the board or the members thereof. (e) the expediture of corporate funds to support a nominee for trustee after there are more people nominated for trustee than can be elected. Or (f) the approval any self-dealing transaction, as those transactions are defined in section 5233(a) of the california corporation code, except as provided in section 5233(d)(3).

Form 990, Part VI, Section B, Line 12

At the first board meeting of each beginning school year (normally september), all board members receive the school's written conflict of interest policy and questionnaire. They are required to complete the form and return it to the head of school's administrative assistant. Board members are requested to notify the board (through the cfo) of any conflict of interest status changes during the school year, prior to submitting the subsequent year's form. Board members are required to recuse themselves from voting on any matters where a conflict of interest may exist.

Form 990, Part VI, Section B, Line 15

The annual process for determining executive compensation as well as compensation for other officers and key employees includes review and approval by the compensation committee, use of comparability data and contemporaneous documentation of the deliberation and decision. The compensation committee reviews the head of school's salary and sets it. They also perform an annual performance review of the head of school and ceo and determine if a bonus is earned. The review includes a performance evaluation against goals set for the year; the salary increase and performance ratings are based on the achievement of these goals. Salary increases are based on these goals and achievements, as well as market indicators including comparison against other similar organizations. The assistant head of school for operations obtains an annual compensation report from the national and california associations of independent schools and from the national and california business officers associations stating head of school, chief financial officer, other officer positions and key employee positions data for comparison. Results are reviewed by the compensation committee. This process was last completed in 2023.

WITHIN THE TEAM TEACHING CLASSROOM ENVIRONMENT, CHILDREN EXPLORE LITERATURE, WRITING, MATH, AND SOCIAL STUDIES. SPECIALISTS TEACH ADDITIONAL SUBJECTS, INCLUDING SCIENCE, ART, MUSIC, PHYSICAL EDUCATION, AND LIBRARY SCIENCE. OUR STATE OF THE ART INNOVATION CENTER ENABLES CHILDREN TO HAVE THE INTELLECTUAL CURIOUSITY AND CREATIVITY TO ASK QUESTIONS AND THE SKILLS NEEDED TO ANSWER THOSE QUESTIONS.
