Governance Explanations

Form 990, Part VI, Section A, Line 2

Family or business relationships among directors: arnold nelson and matt nelson are father and son.

Form 990, Part VI, Section B, Line 11B

Describe the process used to review form 990: no review of form 990 was performed by the board of directors prior to its filing.

Form 990, Part VI, Section B, Line 12C

Describe the process the organizations uses to monitor and enforce compliance with the conflict of interest policy. At each board and committee meeting prior to voting on any issue, board/committee members are asked to identify any conflict of interest with regard to the item being voted on, and to abstain from voting where a conflict of interest exists.

Form 990, Part VI, Section B, Line 15

Describe the process the organization uses to determine compensation of the organization's officers, executives, and employees. The organization's personnel committee (subcommittee of board of directors) sets compensation for the executive director (ed). The committee performs an annual review of the performance of the ed. The committee also gathers input for setting the ed's compensation from local nonprofit compensation surveys, from form 990s of similar organizations in their service area, and from compensation information received from member industry associations. The deliberation and decision regarding the ed's compensation is contemporaneously documented in the minutes of the committee and approved by the full board of directors. The ed is responsible for setting the compensation of other employees through salary information received from similar sources as used in setting the ed compensation. The employee compensation decision is documented in the applicable employee's payroll file.

Form 990, Part VI, Section C, Line 19

Describe how the organization makes its governing documents, conflict of interest policy, and financial statements available to the public. The organization's governing documents, conflict of interest policy, and audited financial statements are available upon request.

FORM 990, PART VIII, LINE 1E, GOVERNMENT CONTRIBUTIONS:

In march 2020, congress passed the paycheck protection program (ppp) under division a, title i of the coronavirus aid, relief, and economic security act (cares act), authorizing loans to small businesses and nonprofit organizations for use in paying employees that they continue to employ throughout the covid-19 pandemic and for certain eligible expenses such as rent, utilities, and interest on mortgages. Loans obtained through the program are eligible to be forgiven as long as the proceeds are used for qualifying purposes and certain other conditions are met. In april 2020, the organization received a first draw ppp loan in the amount of $460,600 through the ppp. Management used the entire loan for qualifying purposes. In february 2021, the organization was notified of their loan forgiveness, which was recognized as income on the combined statement of activities during the year ended december 31, 2021. The organization also obtained a second draw ppp loan in the amount of $467,782. Management also used the entire loan for qualifying purposes. In may 2022, the organization was notified of their loan forgiveness, which was recognized as income on the combined statement of activities during the year ended december 31, 2022

Additional Explanations

FORM 990, PART XI, LINE 9:

Book-to-tax difference with audited f/s (reverse py difference) -1.

Financial Statement Notes

PART X, LINE 2:

Fin 48: jbbbsla and fcbw are nonprofit organizations exempt from income taxes under section 501(c)(3) of the internal revenue code (code) and section 23701(d) of the california revenue and taxation code. Accordingly, no provision for income taxes is made. In addition, they have been determined by the internal revenue service not to be a private foundation within the meaning of section 509(a) of the code. Accounting standards require an organization to evaluate its tax positions and provide for a liability for any positions that would not be considered more likely than not to be upheld under a tax authority examination. Management has evaluated its tax positions and has concluded that a provision for a tax liability is not necessary at december 31, 2022. Generally, the organizations information returns remain open for examination for periods of three (federal) or four (state of california) years from the date of filing.
