“The iattc is an international intergovernmental organization comprising presently 21 members (19 states, one regional economic integration organization and one cooperating fishing entity), each of which is represented by a delegation whose head participates in the process for the selection and appointment of the director of the commission.”

“The governing body is made up of all the 21 members of the commission which are represented each by a maximum number or four commissioners and other designated delegates and experts. A meeting of all members must be held at least once a year. The heads of the respective delegations participate in the process for the selection and appointment of the director of the commission. No subsidiary body (committee, working group, etc.) of the iattc has the authority to act on behalf of the governing body of the commission, they only can make recommendations to that body.”

“Only the governing body, who is made up of the 21 members and represented by up to four commissioners and appointed by the respective government may make governance decisions. Per the organization's articles part ix, sec. 2, decisions on convention amendments require approval of all parties. Per the organization's articles, part ix,, sec. 3, changes to the budget which determine the form and proportion of the contributions of the members and from article vii, paragraph l the criteria for/decisions relating to allocation of total allowable catch, total allowable fishing capacity, etc. Require approval of all members.”

“The iattc currently does not have any committee with the authority to act on behalf of the governing body.”

“After completion of the annual audit, information is provided to the tax professionals by the organization's director. The tax professionals prepare the form 990. It is reviewed by management and properly filed.”

“When appointed, the incoming director and other officers are normally paid based on the outgoing director's and other officers' salary and benefits. This is included in their written contract approved by the iattc members.”

“The financial statements and governing documents (the antigua convention) are available upon request. Additionally, the governing documents and annual reports containing the audited financial statements are available on iattc's website. The conflict of interest policy is contained within the governing document (the antigua convention) which is posted on the iattc website.”

“The organization's method of accounting is in conformity with the accounting practices recommended by the high contracting parties to the convention establishing the inter-american tropical tuna commission, which is a comprehensive basis of accounting other than accounting principles generally accepted in the united states of america.”
