Governance Explanations

Prior to the filing, the entire draft 990 was sent to all trustees. The form was reviewed and discussed in a meeting of the audit committee. In addition, an outside cpa firm, singerlewak, reviewed the form and went over the form in detail with the assistant vice president for financial affairs/controller.

Form 990, Part VI, Section B, Line 12C

Conflicts of interest statements are requested annually from all trustees, board of governors, chairs of active committees as well as senior leaders. Any conflicts or potential conflicts are reported to the audit committee. The audit committee makes a decision on how each conflict should be handled, including abstaining from voting on certain matters.

Form 990, Part VI, Section B, Line 15

In reviewing and approving the compensation for the president and cfo, the huntington's board of trustees (referred to as the "approval body" below), uses the following process: 1. Impartial decision makers: the compensation arrangement must be approved in advance (before any payment is made) by the approval body of the huntington composed entirely of individuals who do not have a conflict of interest with respect to the compensation arrangement (example: neither the executive whose compensation is being determined nor any of his/her family members may be present during the discussion/debate or participate in the vote). 2. Comparability data: when the approval body is considering compensation to covered individuals, it must rely on comparability data that demonstrates the fair market value of the compensation in question. For example, when crafting compensation packages, the approval body must secure data that documents compensation levels for similarly qualified individuals in like positions at like organizations. This data may include the following: a) expert compensation studies by independent firms; b) information obtained from the irs form 990 filings of similar organizations; and c) use of an independent compensation consultant. 3. Concurrent documentation: the approval body must document how it reached its decisions, including the data on which it relied. To qualify as concurrent documentation, written or electronic records of the approval body (such as meeting minutes) must note: a) the terms of the compensation and the date it was approved; b) the members of the approval body who were present during the debate on the compensation that was approved and those who voted on it; c) the comparability data obtained and relied upon and how the data was obtained; and d) any actions taken with respect to consideration of the compensation by anyone who is otherwise a member of the approval body but who had a conflict of interest with respect to the decision on the compensation. All other officers and key employees have their compensation reviewed annually by the approval body, which includes comparability data.

Henry e. And arabella d. Huntington transformed their private estate into a public institution in august 1919, making their vast collections of literature, art, and plants accessible "to promote the public welfare." the huntington's mission is to share its world-renowned collections to support scholarship, foster learning, inspire creativity, and offer transformative experiences for diverse audiences. The collections the huntington has assembled primary materials, art objects, and living collections which reflect the development of western culture, from the ninth century to the present. These collections embody the diverse and interwoven contributions of many cultures, peoples, and nations. The huntington's holdings of rare books, manuscripts, art objects, and botanical specimens speak to our contemporary audiences because they reveal the complexity of the human experience. Stewardship with its outstanding collections in the arts, humanities, and botanical sciences, the huntington has the responsibility to preserve and protect for posterity mr. And mrs. Huntington's legacy and to insure its growth and financial health. Stewardship extends as well to the buildings, grounds, and infrastructure of the institution, not only because they protect the collections and facilitate their use, but because mr. And mrs. Huntington's estate is an important historical document of great significance to the public and to the understanding of the history of southern california. The huntington's communities the huntington is a hub for communities whose boundaries extend from local to the international. As a local institution, it serves schoolchildren, families, and scholars with a broad array of programs centered in the collections. To the national and international communities, the huntington serves as a haven for independent scholarship and as a repository for a broad fund of knowledge represented in the collections. One of the huntington's great strengths, however, is the reciprocal nature of its relationship with its communities. Volunteers provide leadership, stewardship, and resources. Scholars bring their own intellectual depth and diverse interpretations to the collections. Staff supply expertise and energy, and visitors bring curiosity, expectations, and experiences which challenge the huntington to the greater fulfillment of its mission.

FORM 990, PART III, LINE 4A, PROGRAM SERVICE ACCOMPLISHMENTS:

Botanical division encompassing approximately 130 acres of the 207-acre grounds, the botanical gardens comprise more than a dozen spectacular themed gardens. Highlights * liu fang yuan, the garden of flowing fragrance, reflects the traditional style of scholar gardens in suzhou, china, and features a 1.5-acre lake, a complex of pavilions, a teahouse, stone bridges and waterfalls set against a wooded backdrop of mature oaks and pines, a restaurant, and an exhibition complex. At more than 15 acres, the garden is one of the largest classical-style chinese gardens in the world. * the japanese garden, set along a canyon to the south of the chinese garden, comprises a traditional japanese house, a moon bridge, a walled zen garden, bonsai court, and seifu-an, a ceremonial teahouse and garden. In 2023, the japanese heritage shoya house, a 350-year-old structure transported from japan, opened to the public. * the desert garden features one of the largest outdoor collections of mature cacti and succulents in the world. Recent improvements include expanded access and ada-compliant pathways. * the frances and sidney brody california garden in the steven s. Koblik education and visitor center is arranged along a central allee of olive trees. The garden includes native and adaptive plantings set among hedge rooms in a nod toward more formal landscape design. The frances lasker brody botanical center features: * the helen and peter bing children's garden, introducing youngsters to the wonders of the natural world through interactive sculptural elements * the rose hills foundation conservatory for botanical science and the associated foundations teaching greenhouse, providing hands-on botanical science opportunities for children and families, and showcasing orchids and other tropical collections * laboratories for research where botanists are using cryopreservation techniques to safely freeze and conserve fragile plant tissue, and where genetic research reveals much about the evolutionary history of cycads. * the ranch garden, for testing and demonstrating contemporary ideas about sustainable urban agriculture. * collections include more than 15,000 species of plants. * additional garden areas are devoted to roses and camellias, each collection with more than 1,000 different cultivars. * the australian, herb, jungle, lily ponds, palm, and subtropical gardens are among other important botanical attractions. * the three-acre rose garden features more than 2,500 individual plants and more than 1,300 different cultivated varieties. * cycads have been part of the botanical collections since henry e. Huntington's day, and the current collection includes species from around the world. Each year, the huntington hosts botanical shows, conferences, lectures, and plant sales that focus on specific themes. More than 130 people attended the annual succulent plants symposium in 2024. The southern california camellia society show, bonsai-a-thon, california bonsai society show, cactus & succulent society of america show, the huntington orchid show, and the aiseki kai viewing stones show were all open to the public and very well-attended. The gardens hosted the large annual plant sale and semi-monthly lectures, as well as plant sales for the public. The center for east asian garden studies lecture series (6-8 lectures per year) continues and averages about 125 attendees when in person, and from 300 to 600 when online. Library division the huntington library is one of the world's great independent research libraries, holding some 12 million cultural treasures that span the 11th through 21st centuries. These extraordinary and diverse materials over 95% of which are rare and special collections are centered on 14 intersecting collection strengths: american history; british history; history of science, technology and medicine; literature in english; medieval manuscripts; early printed books; california history and culture; history of the american west; hispanic history and culture; photography; maps and atlases; prints, posters, and ephemera; architecture; and pacific rim history and culture. The library's collections encompass: 9.2 million manuscripts; 470,000 rare books; 430,000 reference books; 900,000 prints and ephemera, 800,000 photographs, and over 6 terabytes of digital collections. Hailing from some 30 countries, each year 2,200 researchers make more than 14,000 in-person visits to study rare collections in the library's reading rooms. Some 300,000 tour the library's extensive exhibition halls in san marino. Over 7,500 utilize the library's virtual reference and virtual reading room services, and more than 3.7 million make use of its virtual rare book and manuscript collections. The library staff members play a critical role in cultivating and expanding access to the collections, creating new opportunities for discovery and engagement, and ensuring that collections are preserved for the future. That includes a team professional book, paper, and paintings conservators who carry out thousands of hours of collections treatment annually for library and art collections. The three library exhibition halls, with a combined 9,000 square feet of dedicated space, showcase some of the most outstanding materials in the collection. Research division the huntington library, art museum and botanical gardens is a collections-based research institute, which promotes humanities scholarship on the basis of its library, art, and botanical collections each year, some 2,000 scholars in the fields of history, literature, botanical science, art history, and the history of science, technology, and medicine come from around the world to conduct academic research in the huntington's library, art, and botanical collections. The scholarship that is carried out in the reading rooms results in academic monographs and scholarly articles, in bestselling and prizewinning books, in acclaimed documentary films, and in many of the history and social studies texts used to educate the nation's schoolchildren. The huntington also disseminates research through an extensive program of academic conferences, workshops, seminars, and lectures. Awards of $1.4 million in fellowships, through a peer-review process, were given to scholars for advanced humanities research. Education division the education division provides meaningful learning opportunities for increasingly diverse audiences, including thousands of k-12 students, teachers, families and lifelong learners annually in art, history, literature, and botanical science through special tours, programs and events, to enhance the visitor experience, interpret the collections, and facilitate learning. Other public services and programs the huntington hosts more than 1,100,000 visitors per year. The huntington has a membership totaling nearly 53,000 households, an active volunteer group of more than 1,000, and a full- and part-time staff of over 500. It is an independent non-profit organization, supported by gifts and grants from individuals, corporations, foundations, endowments and government agencies.

Financial Statement Notes

PART III, LINE 1A:

Based on the huntington election under fasb 116, the collections, which were acquired through purchases and contributions since the huntington's inception, are not recognized as assets on the statement of financial position. The collections are held for public education or research in furtherance of public service rather than financial gain. However, the huntington, for purposes of the information return (990 and related) reported the collections acquired through cash contributions as income revenues and offset by expenses. The amount is shown as a reconciling item between the gaap financials and the information return financials. Collections items are expensed when purchased. Contributed collections items are not reflected on the financial statements. The estimated fair value of contributed collections items amounted to $1,300,000 and $2,900,000 for the years ended june 30, 2024 and 2023, respectively. The huntington continually reviews its collections and may deaccession or acquire additional items. Proceeds from deaccessions are classified as without donor restrictions, except when donor restrictions apply. The collections are subject to a policy that requires proceeds from deaccessioning to be used to acquire other items for collections. During fiscal year 2024 and 2023, there were no items deaccessioned at auction. Any proceeds would be restricted for future acquisitions of art.

The huntington library, art museum, and botanical gardens is a collections-based research and educational institution serving scholars and the general public. The library's collection consists of 12 million cultural treasures that span the 11th through 21st centuries including rare books and manuscripts in the fields of british and american history and literature. It also includes collection of materials that span the full range of american western settlement, including the overland pioneer experience, the gold rush, and the development of southern california. The art museum features british, european, american, and asian art spanning more than 500 years and includes more than 45,000 objects. Extraordinary examples of decorative arts and folk art, paintings, prints and drawings, photography, and sculpture are displayed in the huntington art gallery (the original home of henry e. And arabella huntington) and in the virginia steele scott galleries of american art. The botanical gardens encompass approximately 130 acres of the 207-acre grounds, more than a dozen spectacular themed gardens. PART V, LINE 4:

The restricted endowment funds are used for a specific purpose designated by the donor, and the corpus is held in perpetuity. The restricted spend rate distribution is typically used to support a specific program, event or acquisition. The unrestricted endowment fund spend rate distribution is used to support the operations of the huntington.

PART X, LINE 2:

The huntington is exempt from federal income tax under section 501(c)(3) of the internal revenue code (the "code"), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the code. The huntington has also been recognized by the california franchise tax board as exempt from california franchise and income taxes under section 23701(d) of the california revenue and taxation code. The huntington has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. The huntington has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements. There have been no material related tax penalties or interest, which would be classified as a tax expense in the statement of activities.
