Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the elected president, president-elect, treasurer, secretary, chair of governance committee, cfo and executive director/ceo. A majority of members of the committee shall constitute a quorum. The executive committee shall meet as an advisory committee and it shall have the power to act for the board of directors in the interim between meetings of the board, for the consideration of urgent business, except as otherwise provided for in the bylaws and policies of the corporation. It shall not reverse any action taken by the board. All action taken by the executive committee shall be reported to the board of directors.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's public accounting firm based on information provided by management. Once the draft is available, it is reviewed by management and any changes incorporated into the filing. Once this detailed review is complete, the draft of the form 990 is presented to the board of directors for their review and comments prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Board members, officers and directors are required to sign a conflict of interest policy on an annual basis and are required to disclose their interest in other related businesses. No board members, as a business owners, are permitted to submit their proposals to serve ncjwla in any other capacity. Management regularly and consistently monitors compliance with the conflict of interest policy througout the year and addresses conflicts as they arise.

Form 990, Part VI, Section B, Line 15

Compensation for the chief executive officer and other high level managers is based on comparability data from a compensation and benefits survey produced by the center for nonprofit management. Other organization officers and/or key employees salaries are determined by performance evaluation, organization budget and approval by the chief executive officer. The chief executive officer's initial compensation is approved by the board of directors based on market research and other non-profit surveys and annual changes are approved by the board based on performance evaluation and documented. The compensation for top management is set by the chief executive officer and any major increases are approved by the board and documented in personnel files.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service has determined that ncjw | la is exempt from federal income taxes under internal revenue code section 501(c)(3) and by the franchise tax board under section 23701(d) of the california revenue and taxation code. As a result, ncjw | la is exempt from paying income taxes, and thus no provision for income taxes has been reflected in these financial statements. However, income from certain activities not directly related to ncjw | la's tax-exempt purpose may be subject to taxation as unrelated business income. Each year, management considers whether ncjw | la has engaged in any activities that could affect the ncjw | la's income tax status or result in taxable income. Management believes that any positions ncjw | la has taken are supported by substantial authority and would more likely than not be sustained upon examination by the applicable taxing authority. Accordingly, there are no potential liabilities to be recorded or disclosed in the financial statements.

NCJW | LA'S ADVOCACY WORK RAISES AWARENESS ABOUT THE IMPACT OF THESE ISSUES THROUGH CAMPAIGNS, SPECIAL EVENTS, AND EDUCATIONAL OUTREACH PROGRAMS. A KEY COMPONENT OF THE ADVOCACY PROGRAM IS THE ADVOCACY TRAINING PROJECT (ATP), A HANDS-ON, INTERACTIVE, MULTI-LEVEL COURSE DESIGNED TO ENGAGE COMMUNITY ACTIVISTS AND HELP THEM TRANSLATE THEIR PASSION FOR A CAUSE INTO TANGIBLE ACTION AND ADVOCACY. EACH YEAR, ATP EMPOWERS 75-100 PARTICIPANTS TO BECOME EFFECTIVE ADVOCATES FOR CHANGE.
