The committee holds a confidential meeting to discuss any proposed changes to compensation and determines any changes to the Chief Executive Officer's compensation. The committee chair then inform the Chief Executive Officer of any approved changes to compensation. This process was last undertaken in 2019. The Chief Executive Officer approves all changes to the Executive Vice President's compensation subject to the overall approved personnel budget authorized by the compensation committee. This process was last undertaken in 2018.”
