Governance Explanations

Form 990, Part VI, Section A, Line 6

Chevron valley credit union is a cooperative financial institution that is owned and controlled by its members, and operated for the purpose of promoting thrift and savings to its members. Chevron valley credit union does not have stockholders.

Form 990, Part VI, Section A, Line 7A

The governing board of chevron valley credit union is comprised of volunteer members who are directly elected by its members. Each member of the governing board serves for a period as prescribed by our by-laws.

Form 990, Part VI, Section A, Line 7B

At the end of each term of the board members, elections are held and board members are voted by the members of the credit union pursuant to its by-laws. Member votes are also required to ratify decisions dealing with reorganizations as in the case of merger or dissolution.

Form 990, Part VI, Section B, Line 11

A review of the 990 will be done by the ceo prior to filing. A copy of the 990 will be provided to the board of directors for review prior to filing.

Form 990, Part VI, Section B, Line 12C

All newly hired employees and newly elected board of directors are trained and must sign acknowledgement that they have been trained and understand the conflict of interest policies. Additional training is conducted on an annual basis for all staff and volunteers and acknowledgements are signed. The credit union maintains a log of all training completed to ensure consistency and completeness of training.

Form 990, Part VI, Section B, Line 15

A salary range matrix for each executive and staff position is compiled using data from industry salary surveys that are obtained from cues (credit union executive society) and cuna (credit union national association). The board of directors approves all changes made to the salary range matrix. The board of directors sets and approves the ceo's salary based on the salary survey information. The chairman of the board signs a memo authorizing ceo's salary change, and this is given to payroll administrator to process. The last approved change to the salary range matrix was (7/20/2011). The ceo approves all other executive and staff salaries. All salaries must be within the board of directors approved salary range matrix or other guidelines. A memo approving all salary changes is signed by the ceo and given to the payroll adminsitrator to process.

Current financial statements are on display at all branches. Notices are posted that state "our governing document and conflict of interest policy are available for inspection upon request."

Financial Statement Notes

PART X, LINE 2:

Fasb asc 740-10-65, income taxes, provides guidance for how uncertain tax positions should be recognized, measured, disclosed and presented in the financial statements. This requires the evaluation of tax positions taken or expected to be taken in the course of preparing the credit union's tax returns to determine whether the tax positions are "more likely than not" of being sustained "when challenged or "when examined" by the applicable tax authority. Tax positions deemed to not meet the more-likely-than-not threshold would be recorded as a tax expense and liability in the current year. For the year ended september 30, 2015, management has determined that there are no material uncertain tax positions and, accordingly, has not recorded a liability for the payment of interest or penalties.
