Governance Explanations

Form 990, Part VI, Line 11B Review of form 990 by governing body

The form is prepared by the finance department and reviewed by the cfo and external tax accountants. Following the external review, the cfo reviews the form with the ceo. The form is provided and presented to the audit committee for review and approval. Once the audit committee approves the form, a draft is provided to all board members prior to filing.

Form 990, Part VI, Line 12C Conflict of interest policy

Sarh has a compliance officer who reviews the organization's compliance policies, including its conflict of interest statements, at least annually. Each january, a conflict of interest statement is completed and signed by each member of the board of directors, officers, and key employees. The compliance officer and cfo, who attend all board meetings, review the conflict of interest statements. If a new potential conflict arises during the year, a new conflict of interest statement is signed. If a potential conflict of interest exists during a board discussion, the board member is required to state the conflict and abstain from any related board vote. Board minutes reflect these abstentions. At least semi-annually, sarh's compliance officer provides a verbal compliance update at a board meeting and reminds board members of their duty to disclose potential conflicts of interest.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

Sarh's executive compensation program is directed by the compensation committee of the board of trustees. Sarh has developed and approved a formal executive compensation policy that currently covers eight senior management employees, including the ceo and cfo. A comprehensive base pay and total executive compensation analysis is performed by an outside compensation consulting firm every two years. In the intervening years, an analysis of sarh's executive compensation is reviewed against the hospital association of southern california's compensation survey. The consultant presents the survey data and analysis to the compensation committee. The external compensation study includes an evaluation for excess benefit transactions under the intermediate sanctions for tax-exempt organizations and an analysis of both base and total compensation of all members of the executive management team and their salary position in relation to the fiftieth and sixty-fifth percentile of the market. However, the consultant is not either tax or legal counsel and therefore cannot assure compliance with irc 4958, but rather assures that sarh's executive compensation practices fall between the fiftieth and sixty-fifth percentile of the market place and do not exceed the seventy-fifth percentile. The latest survey and analysis were conducted in april 2023. The consultant used survey data from four different published surveys that include california hospitals with comparable revenues, employees and complexity. The compensation committee reviews the consultant's findings in accordance with the compensation policy and their charter and provides direction for any needed compensation policy or pay range changes for the ceo and approves any such recommendations that may be made by the ceo for other executives. The procedures described here are documented in the board minutes.

The financial statements are also provided to anyone upon a verbal or written request. The audited financial statements are attached to the form 990 in accordance with irs instructions.

Form 990, Part III, Line 4A Accomplishments

San antonio regional hospital was founded by dr. William howard craig in 1907 to meet the healthcare needs of local residents. As the community surrounding the hospital grew, it became apparent that larger, more modern facilities were needed. Community leaders rallied to raise the needed capital and the hospital moved to its current location on san bernardino road in 1924. Through community support, the hospital grew - from its modest beginning with 18 beds, 5 physicians, and limited staff - to a 363-bed regional medical facility with 2,200 employees, over 400 volunteers, and a medical staff of nearly 600 physicians representing a wide spectrum of medical and surgical specialties. On january 6, 2017, the hospital's main campus in upland opened the largest expansion in its history. The 179,000 square foot addition, which includes a new 52-bed emergency department and 92-bed patient tower, incorporated the latest healthcare architectural design and advanced technological features to meet the needs of the growing population in the west end of california's inland empire. In addition to the main campus, the hospital has satellite locations in rancho cucamonga, fontana, and eastvale, and ontario. These facilities provide outpatient care in a close, convenient setting for the region's growing population. Additionally, san antonio has a 60,000-square-foot two-story ambulatory care facility directly across the street from the main campus. The scheu building houses city of hope's comprehensive cancer center on the first floor and the hospital's outpatient services and programs on the second floor. The women's breast and imaging center, pre-operative and pre-procedure services, and targeted programs to complement city of hope's cancer center are among the hospital's offerings in this location. Leadership - san antonio regional hospital is governed by a 13-member board of trustees. The hospital's medical staff president-elect, president, and immediate past president are members of the board by virtue of their offices. At least two additional physicians are elected from the medical staff, and the remaining members are elected from the community at-large. The board of trustees, with physician leaders comprising a significant portion of its membership, sets the direction for the hospital's community benefits program. The executive management group directs the hospital's strategic planning process and allocates resources for community benefit activities. The executive management group includes the chief executive officer, chief financial officer, chief operating officer, chief nursing officer, chief strategy officer, chief human resource officer, chief information officer, and president of the hospital foundation. Department directors are responsible for the operation and management of the individual departments. The heart center - sarh's heart program coordinates the comprehensive cardiac services which includes non-invasive cardiology, diagnostic and interventional cardiac catheterization, electrophysiology studies, cardiac nuclear scanning, cardiovascular surgery, and cardiac rehabilitation. The hospital holds a chest pain center accreditation with primary pci from the american college of cardiology, which was awarded after a rigorous onsite evaluation determined the hospital's exceptional competency in evaluating, diagnosing, and treating patients who may be experiencing a heart attack. San antonio is also designated as a stemi receiving center by the inland county emergency medical agency (icema), based on the experience and expertise of our medical team and the advanced technology and processes in place to rapidly handle heart attack patients. Cancer center - sarh's cancer program has been fully accredited by the american college of surgeon's commission on cancer since 1980, and recently received commendations in several areas from the commission on cancer, a consortium of professional organizations dedicated to improving survival and quality of life for cancer patients. The cancer program treatment modalities include surgery, chemotherapy, immunotherapy, radioactive seed implantation, sentinel node/lymphatic mapping, stereotactic core biopsy, physical rehabilitation, support groups and classes, and nutritional consults. Other modalities/services, davinci robotic surgical system, a non-invasive neurosurgical tool, endoscopic ultrasound for gi cancers as a diagnostic tool, and palliative care team. The cancer center provides education and support services for cancer patients and their families. Nurse navigators are part the cancer team and meet with every hospitalized patient with cancer. The navigators also work closely with the physicians on an outpatient basis to ensure that patients have a positive experience as they move between the inpatient and outpatient status during different stages of their treatment. With cancer treatments becoming increasingly complex and new protocols evolving rapidly, san antonio regional hospital and the city of hope have developed a special partnership to give local patients access to leading-edge oncology treatment, innovative research, and clinical trials here in the inland empire. The partnership combines city of hope's world-class cancer care and research with san antonio regional hospital's 100-plus-year-tradition of providing high-quality patient care. The collaboration is focused on creating a seamless care system for oncology patients who can access a full spectrum of medical and surgical cancer services in their local community. San antonio provides complementary services for cancer patients in the scheu building so that outpatient care can be accessed in one convenient location. These services include imaging services (pet ct scanner, ultrasound, and other diagnostic radiology services), a laboratory draw station, and comprehensive pre-procedure and pre-surgical services. Community health improvement (chip) - this program addresses chronic disease management skills, minimizing chronic disease morbidities, and improving the quality of life among community members with chronic diseases. University students are recruited and specially trained as health coaches to provide comprehensive care management through a combination of follow-up clinic services and an in-home visitation program. Students engage in educating and motivating at-risk members to take an active and meaningful role in their health and well-being. The primary objectives of the health coach are to foster meaningful interactions for boosting cooperation and adherence, while helping to resolve non-medical issues (social determinants of health) that impede effective risk factor management and patient care. Population health - as part of its mission to improve the health of the community it serves, sarh conducts an ongoing assessment process to identify community health needs. The hospital's population health department supports a variety of services designed to meet these needs, including health education workshops and community health fairs, as well as several targeted health initiatives. Some of the programs are offered virtually or are provided at locations throughout the community to reach those who may have special needs, experiencing food or hounsing insecurity or lack transportation and would otherwise fail to access these important services. In addition to gaining knowledge about important health topics, participants can access free screenings to identify potential health concerns such as high blood pressure, substance use, stroke, and diabetes. Lewis-san antonio healthy communities institute - the lewis-san antonio healthy communities institute (hci) was established in april 2016 by randall lewis (a local community visionary, innovator and philanthropist) in collaboration with san antonio regional hospital to positively impact the health of the inland empire region. Hci aims to develop solutions in response to the high incidence of chronic diseases and the shortage of healthcare professionals in the region. The institute is designed to serve as a vehicle to help create innovative solutions and to support the efforts of local cities and healthcare entities by providing structure, programs, and specific training. Due to the remarkable success of the workforce development and career readiness programs through the lewis-san antonio healthy communities institute (hci), san bernardino county superintendent of schools awarded hci funding allowed to continue community outreach, health education, and workforce preparation in underserved areas, such as the high desert. In 2024, hci's active programs included wellness starts with you, super science days, young healthcare professionals, and the clinical shadowing program. The clinical shadowing program was launched as an initiative to bridge the gap between classroom learning, early career exploration, and real-world medical practice. The 2024 clinical shadowing program expanded to 55 high school students from schools throughout the inland empire. These students were given the opportunity to observe and learn directly from healthcare experts in the surgery, cardiology, laboratory, pharmacy, telemetry, emergency department, urgent care and more departments of the hospital. From receiving mentorship on the floor from medical professionals to observing surgeries and procedures, participants gain a firsthand understanding of the challenges and rewards of a medical career.

The principal operations of the hospital are exempt from taxation pursuant to internal revenue code section 501(c)(3) and the provisions of the state in which the hospital operates. Accounting standards codification (asc) 740, income taxes, clarifies the accounting for income taxes by prescribing a minimum recognition threshold that a tax position is required to meet before being recognized in the financial statements. Asc 740 also provides guidance on derecognition, measurement, classification, interest and penalties, disclosure, and transition. The guidance is applicable to pass-through entities and tax-exempt organizations. No significant tax expense or liability for tax benefits, interest, or penalties was accrued at or for the years ended december 31, 2024 or 2023. The hospital currently files form 990, return of organization exempt from income tax, and form 990-t, exempt organization business income tax return, in the u.s. Federal jurisdiction and the state of california for each tax-exempt organization, as appropriate. The statute of limitations for the years 2021 through 2023 remains open to examination by the major u.s. Taxing jurisdictions to which the hospital is subject.
