Governance Explanations

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

Membership. Boma/gla shall have the following members:- principal members. "principal members" are owners and/or managers of anycommercial, industrial, institutional, multi-family, retail or mixed-usereal estate facility; provided, however, that each building or facilityshall qualify and join the association as a principal member (i.e.,membership is facility-by-facility, not by owner and/or management company,so any one owner or management company may have as many memberships as thenumber of facilities that they own or manage). Each principal member shalldesignate one member representative per membership.- corporate members. "corporate members" are principal members who ownmore than ten (10) facilities, and may be eligible for preferential duesand voting rights approved from time-to-time by a majority of the board ofdirectors present at any regular or special meeting of the board ofdirectors for which there is a quorum. Each corporate member may designateup to five (5) member representatives per corporate membership.- professional members. "professional members" are firms engaged inproperty/asset management, accounting, appraisal, architecture, brokerage,consulting, design, development, engineering, finance and law in and forthe real estate industry. Each professional member shall designate onemember representative per membership.- associate members. "associate members" are firms who provide productsand services in and for the real estate industry. Each associate membershall designate one member representative per membership.- corporate associate members. "corporate associate members" are associatemember firms who provide products and services in and for the real estateindustry having one or more subsidiary companies under the parentcorporations umbrella. Each subsidiary shall designate one memberrepresentative per membership.- honorary members. An "honorary membership" may be granted by a majorityvote of the board of directors at any regular or special meeting of theboard of directors to any individual or entity whose role in real estateownership or management, and/or whose service to boma/gla, has been soexemplary as to earn this distinction. Honorary members shall not beobligated to pay dues, and shall have no voting or other rights ofmembership. An honorary members may belong to boma international by payingdues their annual dues through boma/gla.- unemployed members. Any member who becomes unemployed at any point inthe year after dues have been paid will be kept on the membership listthrough the dues year. These members will enjoy all benefits of membershipbut will not be able to vote. They will be able to maintain any offices orcommittee positions they hold. Once these members become employed again,their membership must be restored through payment of dues within one monthor their membership will lapse. Each member shall also have the right todesignate a new member representative for its membership if the priormember representative is no longer employed by that member.annual meeting. A meeting of the members of the association, which shall beknown as the annual meeting, shall be held in november of each year, atsuch time and place as may be selected by the board of directors, for thepurpose of installing newly elected officers and members of the board ofdirectors and of transacting any other business which may be properlypresented to at the annual meeting. Notice of the time and place of theannual meeting shall be delivered by the secretary to each memberrepresentative at least thirty (30) days in advance via postal orelectronic mail to the last known postal or email address provided to theassociation by that member. Such notice shall also be deemed given ifincluded within the associations newsletter that is sent to every memberand/or member representative. The notice shall include an agenda of thebusiness expected to come before the annual meeting. Unless twenty percent(20%) or more of the members are present, the only ma

AN "HONORARY MEMBERSHIP" MAY BE GRANTED BY A MAJORITYVOTE OF THE BOARD OF DIRECTORS AT ANY REGULAR OR SPECIAL MEETING OF THEBOARD OF DIRECTORS TO ANY INDIVIDUAL OR ENTITY WHOSE ROLE IN REAL ESTATEOWNERSHIP OR MANAGEMENT, AND/OR WHOSE SERVICE TO BOMA/GLA, HAS BEEN SOEXEMPLARY AS TO EARN THIS DISTINCTION. ANY MEMBER WHO BECOMES UNEMPLOYED AT ANY POINT INTHE YEAR AFTER DUES HAVE BEEN PAID WILL BE KEPT ON THE MEMBERSHIP LISTTHROUGH THE DUES YEAR. THESE MEMBERS WILL ENJOY ALL BENEFITS OF MEMBERSHIPBUT WILL NOT BE ABLE TO VOTE. THEY WILL BE ABLE TO MAINTAIN ANY OFFICES ORCOMMITTEE POSITIONS THEY HOLD. ONCE THESE MEMBERS BECOME EMPLOYED AGAIN,THEIR MEMBERSHIP MUST BE RESTORED THROUGH PAYMENT OF DUES WITHIN ONE MONTHOR THEIR MEMBERSHIP WILL LAPSE. EACH MEMBER SHALL ALSO HAVE THE RIGHT TODESIGNATE A NEW MEMBER REPRESENTATIVE FOR ITS MEMBERSHIP IF THE PRIORMEMBER REPRESENTATIVE IS NO LONGER EMPLOYED BY THAT MEMBER.ANNUAL MEETING.
