“Conflicts of interest are prohibited and all must be reported to the ceo. The ceo monitors and makes determinations of whether a conflict of interest exists. Board members are prohibited from voting on matters in which a conflict of interest exists. Conflicts of interest are reviewed annually. Conflict of interest policy: employees have an obligation to conduct business within guidelines that prohibit actual or potential conflicts of interest. This policy establishes only the framework within which the chamber wishes the business to operate. The purpose of these guidelines is to provide general direction so that employees can seek further clarification on issues related to the subject of acceptable standards of operation. The following are examples of conduct that conflicts with the interests of the chamber and are, therefore, prohibited: 1. Serving as an employee, officer, director, or consultant, or working for a supplier/vendor or competitor of the chamber; 2. Accepting gifts, entertainment, or anything of value from any member, vendor, supplier of material or services, or competitor of the chamber, without authorization from the ceo, other than minor holiday gifts, occasional meals, and entertainment of a nominal nature; 3. Disclosing or utilizing confidential client or chamber information or trade secrets; 4. Soliciting or diverting chamber business or clients away from the chamber; 5. Soliciting co-employees both during and after employment to work for another chamber; 6. Engaging in self-employment in competition with the chamber; 7. Having a direct or indirect financial interest in or relationship with a competitor or vendor/supplier; 8. Acquiring any interest in property or assets of any kind for the purpose of selling or leasing it to the chamber; and/or 9. Committing the chamber to give its financial or other support to any outside activity or organization without appropriate written authorization. The foregoing list is not exhaustive of actual or potential conflicts of interest. Employees must use good judgment to avoid any conflict of interest, as well as to avoid any situation that might appear to others to involve a conflict of interest. Violation of this policy may lead to discipline, up to and including termination. In addition, a violation of this policy may also be a violation of the law and the chamber reserves the right to pursue legal action against any employee or former employee who has violated this policy. Please contact the ceo if you have any questions or concerns regarding any potential or existing business dealings which may violate this policy.”

“Personnel committee determines and reviews the ceo's salary and makes the recommendation. Ceo reviews salary recommendation for other top officials with personnel committee. It includes an annual review and after any personnel committee recommendation it will be reviewed and approved by the executive committee. It also includes a written employee contract. Compensation surveys are used to determine appropriate compensation for senior staff.”
