“The organization for the current year had the following classes of membership: 1) members that can elect the members of the governing body and approve significant decisions of the governing body: members enrolled as aia members, associate aia, international and emeritus 2) members that can receive a share of the organization's profits or excess dues or a share of the organization's net assets upon the organizations dissolution: none in addition to the members identified in 1) above, the organization also has memberships classified as: associate new graduate, fellowship, individual allied, and student. These classifications cannot elect members of the governing body or approve significant decisions. They cannot receive a share of any profits or net assets upon dissolution.”

“The form 990 is made available to each voting member of the organization's governing body prior to its filing with the internal revenue service.”

“Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a "conflict of interest - acknowledgement and disclosure form" which affirms such person: a.has received a copy of the conflicts of interest policy, b.has read and understands the policy, c.has agreed to comply with the policy, and d.understands the organization is not-for-profit and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.”

“The executive director's compensation is annually reviewed and determined by the organization's executive committee, with compensation determined based on prevailing commensurate compensation of similar organizations and reflecting individual merit, commitment, ingenuity, productivity, financial results, and staff and operation management. Compensation is reflected in the board minutes and annual budgets.”

“The organization makes available upon request its governing documents, conflict of interest policy, and internal financial statements.”
