Governance Explanations

Form 990, Part VI, Section A, Line 8B

The board of directors has the authority to make decisions for the agency. Committees are authorized to review proposals and make recommendations to the board, but no committee may act on behalf of the board of directors.

Form 990, Part VI, Section B, Line 11B

The draft of the 990 form is presented to the audit committee for review. Once the audit committee has made any necessary changes the 990 form is submitted to the board for approval.

Form 990, Part VI, Section B, Line 12C

The board of directors and current staff members are required to review and sign a conflict of interest policy each year. Board members are required to sign a conflict of interest statement at the second board meeting of the fiscal year (in march), as part of the process of electing new officers and board members to the board of directors. In addition, as an agenda item, the president of the board will review the document during the meeting to ensure that all board members understand the policy before they sign it. Staff members are required to sign the statement at the beginning of each fiscal year.

Form 990, Part VI, Section B, Line 15

The executive director is reviewed by the board president with input from the rest of the board. The board executive committee then makes compensation decisions utilizing the northern california fair pay survey as a benchmarking tool.

Form 990, Part VI, Section C, Line 19

Financial statements are made available to the public on dyf's website, www.dyf.org, and include the most recent approved audited financial statement, and form 990. These are also available to the public upon request. Governing documents and dyf's conflict of interest policy are available to the public upon request. Form 990 can be accessed via irs.gov and guidestar.org.

Financial Statement Notes

Schedule D, Part V, Line 4

The bequest fund is a sum of unrestricted dollars that the organization is leveraging for long term strategic growth. While some amount of the fund will be deployed based on a documented plan, the majority of the fund will be invested to create increased long term stability for dyf.

Schedule D, Part X, Line 2

Dyf recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Dyf does not believe its financial statements include any uncertain tax positions. Dyf's returns are subject to examination by federal and state taxing authorities, generally for three years and four years, respectively, after they are filed.
