Governance Explanations

The board of directors has an executive committee consisting of the officers of the board of directors. The executive committee may act on behalf of the board between regular board meetings. All actions taken by the executive committee are determined by a majority vote. The executive committee keeps records of its activities and proceedings as it deems appropriate. All actions by the executive committee are reported to the board of directors at the meeting succeeding such action and are subject to revision, alteration and approval by the board of directors, provided, however, that no rights or acts of third parties can be affected by such revision or alteration.

The organization's conflict of interest policy applies to all board members, committee members, officers, employees, and vendors. When an actual, potential, or perceived conflict of interest arises, the individual is required to notify the board or committee. The individual makes a full and fair presentation of the facts related to the conflict and answers questions related to the matter, after which they withdraw from the meeting while the remaining board/committee members discuss and vote on the matter. If it isn't clear whether a conflict of interest exists, the individual withdraws from the meeting while the remaining board/committee members make the determination. If an officer or board member violates the conflict of interest policy, appropriate disciplinary and corrective actions are taken.
