Governance Explanations

Form 990, Part VI, Section B, line 11B

THE FORM 990 IS PREPARED BY MANAGEMENT IN CONJUNCTION WITH A LICENSED CPA FIRM AND IS REVIEWED BY THE SCHOOL'S FINANCE COMMITTEE BEFORE IT IS FILED. THE FINANCE COMMITTEE REPORt TO THE BOARD THAT THE FORM 990 HAS BEEN REVIEWED AND APPROVED AND THAT A COPY IS AVAILABLE FROM THE DIRECTOR OF FINANCE FOR ANYONE WHO WISHES TO REVIEW IT.

Form 990, Part VI, Section B, line 12C

ONCE A YEAR THE SCHOOL DISTRIBUTES DISCLOSURE FORMS TO ITS BOARD OF TRUSTEES AND KEY EMPLOYEES. THE FORM ASKS WHETHER ANY OF THESE INDIVIDUALS HAS A FAMILY RELATIONSHIP OR A BUSINESS RELATIONSHIP WITH ANY OTHER TRUSTEE OR KEY EMPLOYEE. THE INDIVIDUAL AFFIRMS YES OR NO TO THE QUESTION. IF THE REPLY IS YES, THEN THE INDIVIDUAL REPORTs WITH WHOM HE/SHE HAS SUCH RELATIONSHIP, AND WHETHER IT IS BUSINESS OR FAMILY. IF QUESTIONABLE RELATIONSHIPS ARE DISCLOSED EITHER DURING THE DISCLOSURE FORM PROCESS OR AT ANY OTHER TIME, THE MATTER IS TO BE TAKEN UP BY THE EXECUTIVE COMMITTEE OF THE BOARD OF TRUSTEES IN ORDER TO DETERMINE IF OR HOW THE RELATIONSHIP MAY COMPROMISE THE INTEGRITY OF THE INSTITUTION.

Form 990, Part VI, Section B, line 15

The process for determining compensation of the school's head of school (the organization's top management official) is begun by key members of the board of trustees several month prior to the expiration of the head of school's contract. The board members will solicit data from the school's director of finance. The data is gathered from the national association of independent schools, which manages the largest and most up-to-date database on private school compensation for heads of school. This data is looked at both in terms of national, regional and local averages. These data and the school's recomendation for a compensation package are reviewed and verified independently by a compensation consultant hired by the school to look at the head's total compensation package compared to other independent schools with whom the consultant has worked, and who, most recently, delivers a report to the board of trustees showing statistical indicators relating to compensation for school heads. The process for determining compensation for the school's other key employees (director of finance and director of development) is inititated and completed annually by the head of school, who reviews national, regional and local data for similar positions in similar schools (independent elementary schools, enrollments approximately 300-500). This data is provided to the school by the national association of independent schools, the california association of independent schools, and the independent schools business officers association of californa, all of which collect this data annually. The head of school determines the key employees' compensation based on comparing these data, the key employee's level of experience, and prior performance in the job.

Form 990, Part VI, Section C, line 19

The school's audited financial statements are released to the public upon request. The school's form 990 is posted independently on www.guidestar.org. The conflict of interest policy for board members is distributed annually to all board members and key employees, and the conflict of interest policy for employees is published annually in the school's personnel manual.

Financial Statement Notes

Part V, Line 4:

The donor endowment funds are being held to generate income which may be used for any purpose deemed appropriate to advance the mission and vision of the School in accordance with the donors intent.

Part X, Line 2:

The School is a qualified organization exempt from federal income taxes and state franchise taxes under Section 501(c)(3) of the Internal Revenue Code and Section 23701d of the California Revenue and Taxation Code, respectively. U.S. GAAP requires management to evaluate the tax positions taken and recognize a tax liability (or asset) if the School has taken an uncertain tax position that more-likely-than-not would not be sustained upon examination by taxing authorities. Management has analyzed the tax positions taken and has concluded that as of June 30, 2017, there are no uncertain tax positions taken or expected to be taken that would require recognition of a tax liability (or asset) or disclosure in the financial statements. The School is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
