Form 990, Part VI, Section B, Line 12C

All board members and applicable members and foundation staff have signed a conflict of interest policy agreement. If there is a conflict disclosed or discovered, the director in question is not allowed to vote on any transaction in which he/she has an interest, and such a director is not permitted to be present during the board or board committee's discussions or determination of the transaction. The board or board committee shall deliberate on the transaction in the absence of the interested person. The board or board committee shall ascertain that all material facts regarding the transaction and the insider's conflict of interest have been disclosed to the board or board committee, and shall compile appropriate data to ascertain whether the proposed transaction is fair and reasonable to the organization. After exercising due diligence, the board or board committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board or board committee shall determine whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable to the organization. The board or board committee shall make these findings without the vote of any interested directors. If the board or board committee finds that the organization cannot obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest, and also finds that the transaction or arrangement is in the organization's best interest, for its own benefit, and fair and reasonable to the organization, then the majority of disinterested directors then in office may approve the transaction. If the transaction does not involve an interested director, the transaction can also be approved by the board or board committee by majority vote.

Financial Statement Notes

PART X, LINE 2:

The foundation is a nonprofit organization and is exempt from federal income taxation under section 501(c)(3) of the internal revenue code as a public charity under code section 170(b)(1)(a) and from state income and franchise taxes under section 23701d of the california revenue and taxation code. Salesforce.org has been granted tax exempt status under internal revenue code 501(c)(4) and california tax code section 23701f. Both entities are exempt from federal income tax except to the extent of unrelated business taxable income as defined under irc sections 511 through 515. The foundation had no unrecognized tax benefits or uncertain tax positions as of january 31, 2014 and september 30, 2012. The foundation and its subsidiary file exempt organization returns and, if applicable, unrelated business income tax returns in the u.s. Federal and california jurisdictions. With few exceptions, the foundation is no longer subject to united states federal or state/local income tax examinations by tax authorities for fiscal years before 2009.
