Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors may, by resolution adopted by a majority of the directors then in office, create any number of board committees, each consisting of two or more directors, and only of directors, to serve at the pleasure of the board. Appointments to any board committee shall be by a majority vote of the directors then in office. Board committees may be given all the authority of the board, except for the powers to: (a) set the number of directors within a range specified in the bylaws; (b) elect directors or remove directors without cause; (c) fill vacancies on the board of directors or on any board committee; (d) fix compensation of directors for serving on the board or any board committee; (e) amend or repeal these bylaws or adopt new bylaws; (f) adopt amendments to the articles of incorporation of this corporation; (g) amend or repeal any resolution of the board of directors which by its express terms is not so amendable or repealable; (h) create any other board committees or appoint the members of any board committees; or (i) approve any merger, reorganization, voluntary dissolution, or disposition of substantially all of the assets of this corporation.

The conflict of interest policy applies to all officers and board members with a direct or indirect conflict of interest. They are required to comply with the conflict of interest policy and complete an annual statement reporting any potential conflicts. An interested person must disclose the existence of the conflicting interest, including any financial interest, close relationships (such as a family member or partner) and holdings in any other organizations with which stand.earth may have a financial interest that could potentially result in a conflict of interest. After disclosure, the interested person will be asked to leave the room for the discussion and will not be permitted to vote on the question.

The annual process for determining compensation of both the top management official (executive director) and of other officers/key employees includes review and approval by the personnel committee, use of comparability data and contemporaneous documentation of the deliberation and decision. The board of directors' personnel committee conducts a 360 performance evaluation of the executive director and other officers and key employees annually. The results of that evaluation and market research on executive director compensation (conducted by an independent financial services firm) are evaluated by the personnel committee. The committee then proposes a compensation package to the full board for a vote. The process last took place in 2023.
