Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is reviewed by the Executive Director and then presented to the Board of Directors prior to filing with the IRS.

Form 990, Part VI, Section B, Line 12C

CSHA's conflict of interest policy states that an interested person must disclose an actual or possible conflict of interest and be given the opportunity to disclose all material facts to the directors and members of any committee considering the proposed arrangement. That committee then meets privately to determine whether a conflict of interest exists, appointing a disinterested person if needed to investigate alternatives. After exercising reasonable due diligence, the board of directors considers whether CSHA can obtain a more advantageous arrangement without a conflict of interest. The board then votes without the interested party present on the best course of action and the majority determines the outcome. If this process is not reasonably practical, a committee can make this determination in good faith and consistent with these standards. Each director reviews and annually signs an acknowledgment of CSHA's conflict of interest policy and is asked to disclose any conflicts.

Form 990, Part VI, Section B, Line 15A

The board of directors will review any compensation arrangement of the director of CSHA, and will approve the compensation arrangement in advance of payment only after determining that the compensation is just and reasonable. The board of directors will take into account the written evaluation of the director where the board and staff provide feedback, as well as considering the organization budget and salary adjustments recommended for staff. The board will document the basis for its determination concurrently with making the determination.

Financial Statement Notes

Part X : FIN48 Footnote

The Internal Revenue Service and the California Franchise Tax Board have determined that the Organization is exempt from federal and state income taxes under IRC 501(c)(3) and California RTC 23701(d). The Organization has evaluated its current tax positions as of June 30, 2025 and is not aware of any significant uncertain tax positions for which a reserve would be necessary. The Organizations tax returns are generally subject to examination by federal and state taxing authorities for three and four years, respectively, after they are filed.
