In june of 2024 the bylaws were amended to remove the term limits on certain directors if they are president of their respective medical group, in which case there will be no limit on the number of consecutive terms that they may serve on the board for as long as they are president.

FORM 990, PART VI, LINE 6:

The members of smp (each a "member collectively, the "members") are stanford health care, a california nonprofit public benefit corporation ("shc") and the board of trustees of the leland stanford junior university, a trust having corporate powers under the laws of the state of california, on behalf of its school of medicine ("som"), each of which shall have one (1) vote with respect to all matters or actions submitted to the members for vote, approval or consent.

FORM 990, PART VI, LINE 7A:

Under the bylaws of smp, board members are elected by the unanimous written consent of the members.

FORM 990, PART VI, LINE 7B:

Certain decisions of the board require approval of the members. The organization may not enter into a professional service agreement without approval of the members. In addition, amendment of the bylaws requires approval of the members.

FORM 990, PART VI, LINE 11B:

The form 990 is prepared by an outside accounting firm in connection with the smp finance department. The return is reviewed by management prior to filing.

FORM 990, PART VI, LINE 12C:

Officers, directors and employees are required to complete an initial conflict-of-interest disclosure statement ("disclosure statement") within 30 days of beginning service at smp. Additionally, an updated disclosure statement is required thereafter on an annual basis. Further, officers, directors and employees are required to update their disclosure statement within ten (10) business days of a material change in their situations that may create an actual or perceived conflict-of-interest. A disclosure that appears to be a conflict will be resolved by a mutual agreeable plan with the vp of human resources that outlines the steps the officer or employee must take to rectify the conflict. In matters that are unclear or questionable, the office of chief compliance officer will be consulted for a ruling. If further inquiry is necessary the office of the general counsel will be consulted for a ruling.

FORM 990, PART VI, LINE 15A:

The chief executive officer is employed by shc tri-valley, a related organization. The organization relies on shc tri-valley to establish the compensation for the chief executive officer. Shc tri-valley utilizes the services of willis towers watson for compensation benchmarking, analysis, and reporting. The board of directors has a compensation & workforce sub-committee who reviews the results of the compensation review and is assured that total compensation is consistent with the market. This process was last performed in november 2023. The chief medical officer is employed by stanford university (su), a related organization. The organization relies on su to establish the compensation of the chief medical officer. Su's process for determining compensation includes review and approval by independent persons, use of comparability data, and contemporaneous documentation of the deliberation and decision.

FORM 990, PART VI, LINE 15B:

The process for determining compensation for smp's top management (with salary exceeding $300,000 per annum or salary and maximum incentive exceeding $350,000 per annum) requires compensation to be reviewed and approved by a compensation committee of the board, which is comprised of independent persons. Smp engages an independent consultant, who provides comparable market data from published compensation and benefits surveys to be considered in evaluating total compensation packages for each individual executive. The committee conducts a review of this comparability data and documents its deliberations and discussion in minutes that are retained with the other governance materials. This review is completed annually.

On july 26, 2022 stanford marketing launched organizational rebranding efforts. Uha has been re-branded to stanford medicine partners ("smp") as uha's new dba. Smp is a california nonprofit public benefit corporation that has been organized to own and operate multi-specialty medical clinics in northern california pursuant to california health & safety code section 1206(1). Through its clinics, smp offers a broad range of medical care and treatment to adult and pediatric patients in coordination with stanford health care and the stanford university school of medicine (the members). Smp was formed in order to support, benefit and further the charitable, scientific and hospital purposes of the members by establishing, operating and maintaining multi-specialty medical clinics for the provision of healthcare services in northern california, and by engaging in, sponsoring, advancing, encouraging and promoting charitable healthcare, education and medical research activities. The establishment and integration of the smp clinics into a broader health care system operated through the members is intended to improve the availability, effectiveness, efficiency and quality of care provided to individuals residing in the communities served by the members.

FORM 990, PART III, LINE 4A:

Patient care: smp was established as part of the coordinated efforts of the members to create an integrated system of healthcare available to persons of all means. Smp contracts with medical groups to provide outpatient care at smp clinics, each of which is organized into a named clinical operating division within smp. In fy 2024, smp operated 5 clinical operating divisions and contracted with 3 medical groups to provide the professional services for such operating divisions. Smp is a participating provider in the medicare and medical programs. Smp clinics provide medical care and treatment to medicare and medical beneficiaries on a nondiscriminatory basis consistent with smp's charitable purposes and in support of the charitable activities of the members. Smp serves patients in san mateo, santa clara, contra costa and alameda counties, california. Of such patients that are beneficiaries under medical, the vast majority of such medical beneficiaries are enrolled with health maintenance organization (hmo) - alameda. In addition, smp provides free and discounted medical care and treatment to patients qualifying for such free or discounted care consistent with its financial assistance policy, charity care policy and smp's uninsured patient discount policy.
