After this review, the executive director distributes and presents the form 990 to the full board of directors and addresses any questions the board may have in regard to the document.”
“The board of directors has a "no conflict of interest" policy and engages in no transactions which present a conflict of interest, either in fact or appearance. Each board member and key employee complete a policy form each year. Per the conflicts of interest policy, any actual or potential conflict of interest must be disclosed to the board of directors in writing by the interested person (any director or principal officer who has a direct or indirect financial interest in a given transaction or arrangement).”
“15a the compensation of the executive director will be researched by the board and potential condidates solicited through various channels. Interviews will be conducted with at least the executive committee present, and a majority vote will decide the candidate. The board will conduct reviews of such persons biannually. 15b the executive director annually reviews all employee wages and benefits and seeks board of director approval of all changes as part of the annual budget process.
