“Hotels, motels, and other lodging facilities of good repute and sound financial condition, located within the city and county of san francisco, are eligible to become active members. Active members must pay annual dues and have voting rights. In addition, any individual or business that provides goods or services to the hotel industry may apply to become an allied member (subject to majority vote by the board). Allied members must pay annual dues and may serve as officers or directors of the organization, if receiving sufficient votes from the board.”

“For purposes of nominating and electing the organizations directors, active members are divided into four member groups. Member groups are determined based upon the number of rooms at each active member facility. The board appoints a committee to select candidates for directorships from each member group. Active members are sent a notice of meeting with a list of all candidates so selected. The board determines the number of directors to be selected from each member group. Active members from each member group vote only for candidates representing their member group. The can idates receiving the most votes within each member group are elected directors.”

“Election of the board of directors is subject to member approval.”

“The organization's president/ceo reviews the form 990 for correctness, completeness, and disclosures. Subsequent to the president/ceo's review, the 990 is reviewed by the organization's finance committee and board of directors.”
