“The voting member of the Corporation, as provided in the Articles of Incorporation, is Good Shepherd Lutheran Home of the West, a California nonstock corporation, whose merger successor is Bethesda Lutheran Communities, Inc. Voting prerogatives of Good Shepherd Lutheran Home of the West by virtue of the September 1, 2009 merger are exercised by the Board of Directors of Bethesda Lutheran Communities, Inc.”

“Bethesda Lutheran Communities, Inc. reserves to itself, and shall have the exclusive power to do, the following: (a) alter or amend the Bylaws of the Corporation; and (b) approve the annual budget of the Corporation.”

“The Form 990 was prepared by staff of the parent corporation and reviewed and approved by its Sr. Vice President of Administrative Services, the organization's Chief Financial Officer. The Form 990 was then presented to the Board of Directors for review.”

“Annually each November, every director is required to assess the potential for any conflicts of interest and sign a form that discloses whether the director has any potential conflicts of interest. The organization's Compliance and Risk Management Team audits whether every director has submitted a signed conflicts of interest disclosure form, and ensures that this is done annually for every director.”

“The organization does not have any employees, and its directors and officers are not compensated. Accordingly, compensation review procedures are not applicable.”

“The Corporation's governing documents, conflicts of interest policy and financial statements are available to the public upon request.”
