Form 990, Part VI, Section B, line 12C

Each member of the Board or any Committee thereof, shall have the responsibility to identify the existence of a conflict of interest with respect to any matter before the Board or Committee for consideration. After such identification, the member shall disclose the conflict to the other members of the Board or committee and may then enter into a discussion of the matter under consideration, but shall not vote on it. If a member is in doubt as to whether a conflict of interest exists, such member shall resolve the uncertainty in favor of the existence of a conflict.
