Form 990, Part VI, Line 11B: Form 990 Review Process

The organization uses a paid preparer to prepare the Form 990. The return is reviewed in detail by the organizations' CFO and Executive Director. The final draft of the form 990 is shared with the entire board of directors prior to filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Members the board of directors review all potential conflicts of interest at least annually. All personnel and board members are required to disclose potential conflicts and any related party affiliations. Loans between the organization and members of management and the board are strictly prohibited. The organization seeks full transparency on all relationships. Any potential conflicts in fact or appearance are discussed openly and resolved in accordance with the organization's policies and procedures.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Members of the board of directors review the compensation of all high-level personnel periodically in accordance with irs rules and regulations. Efforts are made to secure compensation data from industry sources in order to determine competitiveness and appropriateness of salaries. Every effort is made to ensure that the process is thorough and transparent in accordance with irs guidelines and the organization's policies and procedures. The directors meet and vote on the compensation package of the highly paid employees and directors.

Compensation of other high-level personnel and key employees is reviewed periodically by members of management specifically: the executive director reviews and sets compensation for support staff after consulting with other directors. Efforts are made to secure compensation data from industry sources in order to determine competitiveness and appropriateness of salaries and all related benefits. All decisions are then documented in personnel files.

All of the organization's governing documents, financial statements and other legal filings are maintained in a secure environment and held available for inspection by tax authorities and the general public. IRS990/Desc0In the beginning of FY 2021-2022 we realized that the organization would not be financially sustainable for the long term. Due in part to the COVID pandemic, we were unable to secure the level of foundation funding that sustained us historically, thus we would not be able to continue operating at the same capacity for the remainder of the year. The board elected to close the organization. We continued running scheduled programs and completing courses that were active through Fall 2021, and then focused our work on ensuring that our programs, courses and educators found ways to continue either independently or through other organizations. We facilitated several small-scale program acquisitions. By the end of the fiscal year, the organization ceased usual operations and began the administrative process to wind-up and dissolve.
