Board members were encouraged to review the form 990 and to forward their questions to the director of finance, and either the director of finance or the accounting firm addressed the questions from the board.”

“The conflict of interest policy covers its trustees, ceo, officers and all employees of sf jazz organization. It requires individuals to disclose to the chairman of the board of trustees and the ceo existence of any financial or competitive interest that may give rise to a conflict of interest. Additionally, the ceo will monitor proposed or ongoing transactions for potential conflict of interest and disclose them to the chairman of the board of trustees. A person who reports or is disclosed as having a conflict of interest may be required to be disqualified from participating in related discussion or decisions. This policy is discussed each year at a board of trustees meeting, where individuals with potential conflicts are encouraged to disclose any potential conflicts to the ceo and the chairman of the board of trustees.”
