Mission

The san francisco jazz organization (the organization) is a recognized international leader in jazz creation, presentation, and education. The organization explores the full spectrum of jazz, from the music's origins in the african american community to its diverse present-day expressions around the world. As a non-profit organization, sfjazz works to develop the audience for jazz in the san francisco bay area and beyond. The organization celebrates jazz as a living art form, built on a constantly evolving tradition.

To promote the growth and evolution of jazz music in the san francisco bay area.

Form 990, Part VI, Section B, Line 11B

Hood & strong forwarded the completed form 990 to the director of finance, who upon review forwarded the form 990 to the board members for their review prior to filing the form 990. Board members were encouraged to review the form 990 and to forward their questions to the director of finance, and either the director of finance or the accounting firm addressed the questions from the board.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers its trustees, ceo, officers and all employees of sf jazz organization. It requires individuals to disclose to the chairman of the board of trustees and the ceo existence of any financial or competitive interest that may give rise to a conflict of interest. Additionally, the ceo will monitor proposed or ongoing transactions for potential conflict of interest and disclose them to the chairman of the board of trustees. A person who reports or is disclosed as having a conflict of interest may be required to be disqualified from participating in related discussion or decisions. This policy is discussed each year at a board of trustees meeting, where individuals with potential conflicts are encouraged to disclose any potential conflicts to the ceo and the chairman of the board of trustees.

The process of determining compensation includes board discussion in executive session, survey of other arts organization for comparison, and vote and approval by the board.

Financial Statement Notes

PART V, LINE 4:

Sfjazz's endowment consists of individual funds, all established to generate general operating support to the organization. The endowment includes donor-restricted endowment funds as well as board-designated funds to function as endowments. Net assets associated with endowment funds are classified and reported based on the existence or absence of donor-imposed restrictions.

PART X, LINE 2:

Sfjazz organization and the foundation have been classified as a publicly supported, tax-exempt organization under section 501(c)(3) of the internal revenue code, and are exempt from california franchise taxes under revenue and taxation code section 23701d. Sfjazz follows the guidance on accounting for uncertainty in income taxes issued by financial accounting standards board (fasb) accounting standards codification (asc) topic 740. As of june 30, 2018, management evaluated sfjazz's tax positions and concluded that sfjazz had maintained its tax exempt status and had taken no uncertain tax positions that require adjustment to the consolidated financial statements.
