Changes to Organizing or Governing Documents

The articles of incorporation were amended on august 31, 2020 as follows:article ithe name of the corporation is eah community housing inc. (the "corporation").article iiia. The express purpose of the corporation shall include expanding the opportunities available to low and moderate income persons to obtain affordable, decent, safe and sanitary housing in the city of los angeles; providing such housing for non-profit and cooperative ownership through the rehabilitation of existing buildings and the construction of new buildings; and assisting low and moderate income persons and groups in developing management skills necessary for the successful operation of said housing.the bylaws of the organization were amended and restated on august 31, 2020 as follows:section 3.3 number of directors -the authorized number of directors shall be not less than three and no more than fifteen until changed by amendment of the articles or these bylaws. The exact number of directors shall be fixed, within the limits specified, by resolution duly adopted by the board. The initial number of directors shall be three until changed as provided in this section 3.3notwithstanding anything to the contrary contained herein, at all times, at least one-third of the members of the board shall be a city of los angeles public official or employee; a member of a low-income household; a resident of a low-income area; and/or an elected representative of a low-income group. A member of a low-income household includes persons with a combined total expected income that is less than 80% area median income; a low-income resident resides in a census tract/block group that has more than 50% of its households with incomes less than 80% of the area median income. An elected representative of a low-income group is a person elected by the membership of an organization whose membership is open to all residents of a defined neighborhood where more than 50% of the households have incomes less than 80% of the area median income and whose position on that governing body is primarily as a representative of that neighborhood group.section 3.4 selection and term of office -the following was added:a) at all times (except during a vacancy in the office of a director) a majority of the directors shall be individuals who are not disqualified persons with respect to the corporation as defined in section 509(a)(3)(c) of the internal revenue code (the "code").b) at all times a majority of the directors shall concurrently serve on the board of directors of eah or as employees of eah.c) directors appointed pursuant to section 3.4 shall serve one-year terms of office. An appointed director may be re-appointed an unlimited number of times. Section 3.5 interested persons - not more than forty-nine percent of the persons serving on the board at any time may be interested persons. For purposes of this section 3.5, an interested person is:a) any person being compensated by the corporation for services rendered to it within the previous twelve months, whether as a full-time or part-time employee, independent contractor, or otherwise, excluding any reasonable compensation paid to a director as a director; orb) any brother, sister, ancestor, descendant, spouse, brother-in-law, sister-in-law, son-in-law, daughter-in-law, mother-in-law, or father-in-law of any such person.c) any violation of the provisions of the section 3.5 shall not affect the validity or enforceability of any transaction entered into by the corporation.section 3.8 removal -any director may be removed from office without cause if such removal is approved by either a majority of the directors then in office or by the majority of the directors of eah. The board may remove a director who has been declared of unsound mind by a final order of court, or convicted of a felony, or found by a final order of judgement or any court to have breached any duty arising under section 5230 though 5238 of the law. AN ELECTED REPRESENTATIVE OF A LOW-INCOME GROUP IS A PERSON ELECTED BY THE MEMBERSHIP OF AN ORGANIZATION WHOSE MEMBERSHIP IS OPEN TO ALL RESIDENTS OF A DEFINED NEIGHBORHOOD WHERE MORE THAN 50% OF THE HOUSEHOLDS HAVE INCOMES LESS THAN 80% OF THE AREA MEDIAN INCOME AND WHOSE POSITION ON THAT GOVERNING BODY IS PRIMARILY AS A REPRESENTATIVE OF THAT NEIGHBORHOOD GROUP.SECTION 3.4 SELECTION AND TERM OF OFFICE -THE FOLLOWING WAS ADDED:A) AT ALL TIMES (EXCEPT DURING A VACANCY IN THE OFFICE OF A DIRECTOR) A MAJORITY OF THE DIRECTORS SHALL BE INDIVIDUALS WHO ARE NOT DISQUALIFIED PERSONS WITH RESPECT TO THE CORPORATION AS DEFINED IN SECTION 509(A)(3)(C) OF THE INTERNAL REVENUE CODE (THE "CODE").B) AT ALL TIMES A MAJORITY OF THE DIRECTORS SHALL CONCURRENTLY SERVE ON THE BOARD OF DIRECTORS OF EAH OR AS EMPLOYEES OF EAH.C) DIRECTORS APPOINTED PURSUANT TO SECTION 3.4 SHALL SERVE ONE-YEAR TERMS OF OFFICE. AN APPOINTED DIRECTOR MAY BE RE-APPOINTED AN UNLIMITED NUMBER OF TIMES. SECTION 3.5 INTERESTED PERSONS - NOT MORE THAN FORTY-NINE PERCENT OF THE PERSONS SERVING ON THE BOARD AT ANY TIME MAY BE INTERESTED PERSONS. FOR PURPOSES OF THIS SECTION 3.5, AN INTERESTED PERSON IS:A) ANY PERSON BEING COMPENSATED BY THE CORPORATION FOR SERVICES RENDERED TO IT WITHIN THE PREVIOUS TWELVE MONTHS, WHETHER AS A FULL-TIME OR PART-TIME EMPLOYEE, INDEPENDENT CONTRACTOR, OR OTHERWISE, EXCLUDING ANY REASONABLE COMPENSATION PAID TO A DIRECTOR AS A DIRECTOR; ORB) ANY BROTHER, SISTER, ANCESTOR, DESCENDANT, SPOUSE, BROTHER-IN-LAW, SISTER-IN-LAW, SON-IN-LAW, DAUGHTER-IN-LAW, MOTHER-IN-LAW, OR FATHER-IN-LAW OF ANY SUCH PERSON.C) ANY VIOLATION OF THE PROVISIONS OF THE SECTION 3.5 SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY TRANSACTION ENTERED INTO BY THE CORPORATION.SECTION 3.8 REMOVAL -ANY DIRECTOR MAY BE REMOVED FROM OFFICE WITHOUT CAUSE IF SUCH REMOVAL IS APPROVED BY EITHER A MAJORITY OF THE DIRECTORS THEN IN OFFICE OR BY THE MAJORITY OF THE DIRECTORS OF EAH.
