Governance Explanations

Form 990, Part VI, Line 1A

The affairs and management of sutter health are governed by the board of directors. The executive committee has the power to act on behalf of the board and to transact all regular business during the period between meetings of the board. The executive committee consists of the board chair, who serves as chair of the committee, the chair of the finance committee, the secretary, the president and chief executive officer, the chair-elect, if there is an individual with that title who is not serving on the committee in another capacity, the past chair, if such individual is still serving as a director, and at least one appointed director of the corporation.

Form 990, Part VI, Line 11B

Process used by management &/or governing body to review form 990: sutter health has a centralized tax department responsible for the preparation of the form 990. Annually the tax department receives and provides training and education to appropriate personnel who assist the tax department in collecting and reviewing data to be reported on the form 990. The preparation material is reviewed by various departments including tax, finance, legal, and human resources. A national accounting firm prepares and reviews the return. A completed return is then reviewed by the tax department, legal department, finance, and the cfo before the return is filed.

Form 990, Part VI, Line 12

Process to monitor transactions for conflicts of interest: employees are educated on the conflict of interest policy and the need to make disclosure as part of annual compliance education. In addition, annually a disclosure statement is completed by all directors, officers and key employees. On this statement the individual will list a wide range of information which includes business relationships, employment relationships, property interests, and those of related parties. If there is a potential conflict of interest related to a particular transaction, the interested individual must disclose the existence and nature of the relationship. The board chair may appoint a disinterested person or committee to investigate the conflict. The board may consult with the legal and risk services department as necessary. Until the potential conflict is resolved, the board chair (or committee chair as applicable) may request the individual to not participate during related presentations and discussions. In all circumstances involving an actual conflict, the interested individual shall leave the room prior to the board's final discussion and vote.

PROCESS FOR DETERMINING TOP MANAGEMENT OFFICIAL COMPENSATION: The compensation for the position of the top management official is determined through a quantitative review of peer equity data and applicable national market salary survey data regressed to entity operating revenue size to ensure the position is both internally equitable and externally competitive/market appropriate. The Compensation Committee of Sutter Health annually reviews and approves compensation, and such approval is recorded in the minutes of Sutter Health. The 2024 Executive compensation approval was completed in APRIL 2024.

INTENDED USES OF ENDOWMENT FUNDS: Michael and Judith Gaulke Innovation Hatchery Endowment Fund- To benefit the Innovation Hatchery to expand on the human-centered approach to designing breakthrough innovations by building a diverse portfolio of projects that are aligned with Sutter Health's mission and patient care goals. Herbert & Inez Yee Physician Next Generation - To support medical school education of Sutter Health-affiliated physicians' children or grandchildren. P&J Baker Endowed Chair in CV Innovation - To provide annual support for the Peggy (Margaret) & John Baker Endowed Chair in Cardiovascular Innovation. Asc 740 footnote: this organization was part of a consolidated financial system audit. The asc 740 audit footnote disclosure for the sutter system is as follows: sutter health and many affiliates have been determined to be exempt organizations by the internal revenue service and the california franchise tax board and generally are not subject to taxes on income. Certain activities of sutter are subject to income taxes; however, such activities are not significant to the consolidated financial statements. With respect to its taxable activities, sutter records income taxes using the liability method, under which deferred tax assets and liabilities are determined based on the differences between the financial accounting and tax basis of assets and liabilities. Deferred tax assets or liabilities at the end of each period are determined using the currently enacted tax rate expected to apply to taxable income in the periods that the deferred tax asset or liability is expected to be realized or settled. Sutter recognizes the tax benefit from uncertain tax positions, only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The statute of limitations for tax years 2021 through 2023 remains open in u.s. Tax jurisdictions in which sutter and its affiliates are subject to taxation. Sutter recognizes interest and penalties related to income tax matters in operating expenses. There were no such uncertain tax positions recognized for the years ended december 31, 2024 and 2023.

Committed to innovative, high-quality patient care and community partnerships, Sutter is pursuing a bold new plan to reach more people and make excellent healthcare more connected and accessible. Currently serving nearly 3.5 million patients, thanks to our dedicated team of more than 60,500 employees and clinicians, and 14,000 affiliated physicians, with a unified focus on expanding care to serve more patients. Sutter Health delivers exceptional and affordable care through its hospitals, medical groups, ambulatory surgery centers, urgent care sites, home health, and hospice services. Dedicated to transforming healthcare, at Sutter Health, getting better never stops. From deploying technology that improves the patient experience to expanding training programs to cultivate the next generation of physicans and healthcare workers, Sutter is working to shape the future of healthcare and be the best place to work, practice medicine and receive care. Sutter Health is closing healthcare gaps by expanding access. Sutter has recruited over 1,700 new physicians and clinicians since 2023. Sutter Health is training the next generation of caregivers. We now have capacity to train 570 residents at 30 accredited Graduate Medical Education programs and will be training nearly 1,000 a year by 2035. We've established 9 academic partnerships to help strengthen professional pathways for those interested in healthcare careers. This includes a 10-year partnership with Charles R. Drew University of Medicine and Science, one of only four historically Black medical schools in America, which will fund 25 full scholarships and launch an incubator lab to accelerate healthy outcomes. Grounded in its not-for-profit mission, Sutter Health is also a strong community partner. The integrated health system heavily reinvests in community health programs and partnerships. In 2024, we invested more than $1 billion in community benefit programs, including supporting community health programs and partnerships, charity care, and unreimbursed costs for providing care to patients with Medi-Cal. Sutter Health invested $71.6 million in 2024 in research and clinical trials helping pioneer healthcare breakthroughs. 539 clinical trials were conducted with over 8,600 patients enrolled in clinical trials in 2024. Strategic investments in digital health, AI and our Innovation Center are driving improved patient access, patient care and clinician support, while setting new standards in healthcare delivery. We invested $350M this year in upgraded and new clinical technology that is enhancing our ability to provide the best possible patient outcomes.
