The organization has made significant changes to its articles of incorporation and bylaws since its last form 990 was filed. These changes recently became effective and are embodied in an amended and restated articles of incorporation dated february 18, 2019 and filed with the california secretary of state in march, 2019, and in an amended and restated bylaws of f.a.h.a. Manor dated august 18, 2019. This answer contains a summary of these changes. Amended and restated articles of incorporation of f.a.h.a. Manor. 1. Stated purpose. The organization is a nonprofit corporation that owns and operates affordable rental housing for low-income elderly persons in sonoma county, california. The organization's initial articles of incorporation were filed in california in 1981. The general purpose of the organization stated in those initial articles of incorporation-"charitable purposes"---has not been not changed. However, the initial articles also described one specific type of charitable purpose, namely, the provision of affordable housing to the low-income elderly pursuant to a particular federal housing subsidy program (the "section 202 program"). Today the organization no longer relies on that particular federal housing program, so the organization has revise the description of that specific purpose to more broadly encompass several charitable goals that can be achieved by ownership and operation of affordable housing for the low-income elderly. 2. Specific corporate powers. The initial articles of incorporation acknowledged that the corporation had all powers given to any nonprofit corporation by california law, but they also included a lengthy recitation of specific powers that would be needed by it to participate in the section 202 program (such as the power to sign a particular kind of contract with the federal government). Since the organization no longer participates in the section 202 program, this recitation of specific corporate powers has been deleted. 3. Member. The organization was founded by a sponsoring organization ("faha") that itself was and remains a california nonprofit public benefit organization exempt under section 501(c)(3) of the internal revenue code. The initial articles of incorporation stated that the organization will have members, who will be the persons who are then also directors of faha. This governance arrangement has proven cumbersome, so this provision has been changed to state that faha itself is henceforth the sole member of f.a.h.a. Manor. 4. Assets upon dissolution. The initial articles of incorporation of the organization specified that, upon dissolution and winding up, and after the payment of all liabilities, the net assets of the organization will be distributed to another nonprofit organization organized and operated exclusively for charitable purposes and tax-exempt under section 501(c)(3). This provision has been revised to state that, in such a circumstance, the net assets will be distributed to faha if faha is, at that time, still a nonprofit organization organized and operated exclusively for charitable purposes and tax-exempt under section 501(c)(3) as it is today; and, otherwise, the net assets will be distributed to another nonprofit organization organized and operated exclusively for charitable purposes and tax-exempt under section 501(c)(3) i.e., as provided in the initial articles of incorporation. 5. Further amendments. The initial articles of incorporation provided that, as long as the organization participated in the section 202 program, they could not be amended without the consent of the secretary of housing and urban development. This provision has been deleted as obsolete. Amended and restated bylaws of f.a.h.a. Manor. 1. Member rights. The bylaws have been revised to clarify that the member of the organization (faha) shall have all the rights provided to member(s) of a california nonprofit corporation, including the right to elect the board of directors of the organiza

MANOR DATED AUGUST 18, 2019. THIS ANSWER CONTAINS A SUMMARY OF THESE CHANGES. AMENDED AND RESTATED ARTICLES OF INCORPORATION OF F.A.H.A. MANOR. 1. STATED PURPOSE. THE ORGANIZATION IS A NONPROFIT CORPORATION THAT OWNS AND OPERATES AFFORDABLE RENTAL HOUSING FOR LOW-INCOME ELDERLY PERSONS IN SONOMA COUNTY, CALIFORNIA. THE ORGANIZATION'S INITIAL ARTICLES OF INCORPORATION WERE FILED IN CALIFORNIA IN 1981. THE GENERAL PURPOSE OF THE ORGANIZATION STATED IN THOSE INITIAL ARTICLES OF INCORPORATION-"CHARITABLE PURPOSES"---HAS NOT BEEN NOT CHANGED. HOWEVER, THE INITIAL ARTICLES ALSO DESCRIBED ONE SPECIFIC TYPE OF CHARITABLE PURPOSE, NAMELY, THE PROVISION OF AFFORDABLE HOUSING TO THE LOW-INCOME ELDERLY PURSUANT TO A PARTICULAR FEDERAL HOUSING SUBSIDY PROGRAM (THE "SECTION 202 PROGRAM"). TODAY THE ORGANIZATION NO LONGER RELIES ON THAT PARTICULAR FEDERAL HOUSING PROGRAM, SO THE ORGANIZATION HAS REVISE THE DESCRIPTION OF THAT SPECIFIC PURPOSE TO MORE BROADLY ENCOMPASS SEVERAL CHARITABLE GOALS THAT CAN BE ACHIEVED BY OWNERSHIP AND OPERATION OF AFFORDABLE HOUSING FOR THE LOW-INCOME ELDERLY. 2. SPECIFIC CORPORATE POWERS. THE INITIAL ARTICLES OF INCORPORATION ACKNOWLEDGED THAT THE CORPORATION HAD ALL POWERS GIVEN TO ANY NONPROFIT CORPORATION BY CALIFORNIA LAW, BUT THEY ALSO INCLUDED A LENGTHY RECITATION OF SPECIFIC POWERS THAT WOULD BE NEEDED BY IT TO PARTICIPATE IN THE SECTION 202 PROGRAM (SUCH AS THE POWER TO SIGN A PARTICULAR KIND OF CONTRACT WITH THE FEDERAL GOVERNMENT). SINCE THE ORGANIZATION NO LONGER PARTICIPATES IN THE SECTION 202 PROGRAM, THIS RECITATION OF SPECIFIC CORPORATE POWERS HAS BEEN DELETED. 3. MEMBER. THE ORGANIZATION WAS FOUNDED BY A SPONSORING ORGANIZATION ("FAHA") THAT ITSELF WAS AND REMAINS A CALIFORNIA NONPROFIT PUBLIC BENEFIT ORGANIZATION EXEMPT UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE. THE INITIAL ARTICLES OF INCORPORATION STATED THAT THE ORGANIZATION WILL HAVE MEMBERS, WHO WILL BE THE PERSONS WHO ARE THEN ALSO DIRECTORS OF FAHA. THIS GOVERNANCE ARRANGEMENT HAS PROVEN CUMBERSOME, SO THIS PROVISION HAS BEEN CHANGED TO STATE THAT FAHA ITSELF IS HENCEFORTH THE SOLE MEMBER OF F.A.H.A. MANOR. 4. ASSETS UPON DISSOLUTION. THE INITIAL ARTICLES OF INCORPORATION OF THE ORGANIZATION SPECIFIED THAT, UPON DISSOLUTION AND WINDING UP, AND AFTER THE PAYMENT OF ALL LIABILITIES, THE NET ASSETS OF THE ORGANIZATION WILL BE DISTRIBUTED TO ANOTHER NONPROFIT ORGANIZATION ORGANIZED AND OPERATED EXCLUSIVELY FOR CHARITABLE PURPOSES AND TAX-EXEMPT UNDER SECTION 501(C)(3). THIS PROVISION HAS BEEN REVISED TO STATE THAT, IN SUCH A CIRCUMSTANCE, THE NET ASSETS WILL BE DISTRIBUTED TO FAHA IF FAHA IS, AT THAT TIME, STILL A NONPROFIT ORGANIZATION ORGANIZED AND OPERATED EXCLUSIVELY FOR CHARITABLE PURPOSES AND TAX-EXEMPT UNDER SECTION 501(C)(3) AS IT IS TODAY; AND, OTHERWISE, THE NET ASSETS WILL BE DISTRIBUTED TO ANOTHER NONPROFIT ORGANIZATION ORGANIZED AND OPERATED EXCLUSIVELY FOR CHARITABLE PURPOSES AND TAX-EXEMPT UNDER SECTION 501(C)(3) I.E., AS PROVIDED IN THE INITIAL ARTICLES OF INCORPORATION. 5. FURTHER AMENDMENTS.
