Mission and Program Overview

Mission

To educate the public regarding the history of the 390th bomb group and the 8th air force and their activities and roles in the national defense through programs of collection, exhibition, interpretation, preservation, conservation and restoration, education, research, reference and publication. This is accomplished through direct visitor contact, advertising and newsletters, and a substantial web site on the internet.

Preserves and shares the world war ii accomplishments of the 390th bombardment group.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

Executive committee has the board president, vice president, treasurer, and secretary. It also serves as the finance committee. It receives the proposed annual operating budget, makes changes if needed, and provides its recommendation to the full board for approval. It is composed entirely of current board members.

The foundation has 4 levels of membership: founder: all veterans of the 390th bomb group (h) and the 390th strategic missile wing and attached units, and their descendants, are eligible to become founder members. The term "descendants" is defined to include the spouse, widow, lineal descendants, parents, and siblings of such veterans. Founder members are entitled to all rights and privileges of foundation membership and may serve on the board of directors. Patron: natural persons who do not qualify as founder members, but who demonstrate strong motivation and interest toward the enhancement and fulfillment of the foundation's objectives through their outstanding contributions to the foundation, may become patron members. Candidates for patron membership must be approved by a majority vote of the board of directors. Patron members are entitled to all rights and privileges of foundation membership. And may serve on the board of directors. Honorary: natural persons who demonstrate strong motivation and interest toward the enhancement and fulfillment of the foundation's objectives through their outstanding contributions to the foundation may become honorary members. Candidates for honorary membership must be approved by a majority vote of the board of directors. Honorary members are entitled to all rights and privileges of foundation membership except they pay no dues and may not serve on the board of directors. Associate: any natural person or organization who actively supports the foundation by monetary or property contributions, and who does not qualify as a founder member, may become an associate member. Associate members are entitled to such rights and privileges of foundation membership as may be designated by the board of directors, except they may not serve on the board of directors. The board of directors shall establish annual and life membership categories for the various classes of membership defined above. Membership may not be transferred.

The form 990 is prepared by an independent accounting firm. A final copy of the form 990 990 is first reviewed by the board's executive committee and then distributed to the entire board for review.

Form 990, Part VI, Section B, Line 12C

The organization adopted a conflict of interest policy and is regularly monitoring and enforcing the policy through an audit committee that is charged, as one of its responsibilities, with ensuring compliance. Also, once a year all board members are required to sign an annual conflicts of interest compliance statement, stating that they have complied with the policy for the past year, and that they agree to continue to comply with this policy. After the disclosure of an actual or possible conflict of interest, the chairperson of the board, the executive committee, or the appropriate standing or special committee shall present the actual or possible conflict of interest and all of the material facts to the members. The interested person may be present to answer any questions or provide any information that may be helpful to the board or committee in determining whether a conflict of interest does exist. The interested person shall not be present during the determination of whether a conflict does exist unless the board or committee determines otherwise. If the board, the executive committee or the appropriate standing or special committee determines that a conflict of interest does exist, the interested person must recuse himself or herself from any further participation in the consideration of the transaction or arrangement. Records of the deliberations and decisions made can be found in the board minutes.

Form 990, Part VI, Section B, Line 15A

At the beginning of each calendar year, the executive director provides the board with goals and objectives for the year. The board reviews and either confirms or modifies these and reviews them throughout the year for progress. At the end of the year, the director provides an assessment of accomplishments vis a vis the original goals for the year. The board then reviews this in executive session. Concurrently, the organization hired a professional search firm to conduct an assessment of comparable compensation and benefit functions throughout the southwest, with specific attention to similar arizona and pima county nonprofit roles. The organization participates in the annual arizona state university lodestar center nonprofit compensation and benefit survey which addresses the overwhelming majority of similar roles in the museum profession. Results of that survey are combined with a board executive committee assessment of director performance relative to the goals and objectives, to reach a recommendation on compensation. That recommendation is presented to the entire board, and their deliberation on the recommendation results in an approved compensation and benefit determination for the director for the next year. The process described here was last completed in 2022.

PART III, LINE 4:

The collections consist of world war ii memorabilia. The organization's collections of memorabilia further the organization's purpose by educating the public on the role the unit played in world war ii. The exhibits educate younger generations on the historical significance of the events this bomb group was a part of.

PART V, LINE 4:

This is a quasi-endowment fund established by the board of directors to support the museum in the event that future donations are not sufficient for continued operation.

PART X, LINE 2:

The organization is a nonprofit organization under internal revenue code section 501(c)(3) and, as such, it is exempt from both federal and arizona income taxes and has been classified as an organization other than a private foundation under section 509(a)(1). The organization files the internal revenue service form 990, return of an organization exempt from income tax. The organization follows the requirements for accounting for uncertain tax positions. The organization has determined that it is not required to record a liability related to uncertain tax positions.
