Governance Explanations

Form 990, Part VI, Section B, Line 11B

The finance committee reviews and approves the 990 following review and approval by the chief executive officer, and the chief financial officer. The complete form 990 is then forwarded to the full board of directors for review prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Each interested person shall disclose to the board, or to the executive committee or the governance committee or other board committee empowered to approve a specific transaction or type of transaction ("committee"), all material facts regarding his, her, or its interest (including relevant affiliations) in the transaction. The interested person shall make that disclosure promptly upon learning of the proposed transaction. Insiders shall make disclosures on behalf of interested persons related to them regardless of whether the related interested person does so. The board or committee shall determine if a conflict of interest exists. The insider(s) and any other interested person(s) involved with the transaction shall not be present during the board or committee's discussion or determination of whether a conflict of interest exists. Once a conflict of interest has been found, the board or committee shall follow the procedures to decide what measures are needed to protect the foundation's interests in light of the nature and seriousness of the conflict, to decide whether to enter into the transaction and, if so, to ensure that the terms of the transaction are appropriate in the case of an insider who is a director, the director shall not vote on any transaction in which the director has an interest, and the remaining board or committee members shall decide the matter.

Form 990, Part VI, Section B, Line 15

The board of directors annually sets the salary for the ceo based on annual wage and benefit surveys, regional compensation market data and annual performance reviews. The ceo sets the salary for the cfo and chief strategists who are members of the foundation's leadership team annually based on level of experience, performance, and comparison to similar organizations in a similar market. This process was last undertaken in june 2024.

Financial Statement Notes

PART V, LINE 4:

The purpose is to provide support in meeting the operating and program needs of the foundation.

PART X, LINE 2:

The foundation is a nonprofit corporation under internal revenue code section 501(c)(3) and has been granted tax-exempt status by the internal revenue service and the california revenue and taxation code. These exemptions are subject to periodic review by the taxing authorities. As of june 30, 2024, the foundation has reviewed its tax positions and has concluded no reserve for uncertain tax positions is required. In the opinion of management, there is no unrelated business income subject to income taxes. The foundation uses a comprehensive model for recognizing, measuring, presenting and disclosing in the financial statements tax positions taken or expected to be taken on a tax return. A tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. For the years ended june 30, 2024, management has determined that the foundation does not have any tax positions that result in any uncertainties regarding the possible impact on the foundation's financial statements. The foundation's exempt organization information returns are subject to review through three years after the date of filing for federal and four years after the date of filing for state.
