“The Organization has two categories of members, which are regular and student.”

“Student members have all the rights and privileges of regular members except that student members shall not have voting rights. A person becomes a member (regular or student) upon acceptance of an application for membership by the corporation and payment of dues. Each regular member in good standing as of the record date shall be entitled to one vote on any vote of the membership.”

“Article XVII. Amendments to these bylaws section 1. Amendment by executive council. (A) subject to the limitations set forth below, the executive council may adopt, amend or repeal bylaws unless the action would materially and adversely affect the members rights as to voting. The executive council may not extend the term of a councilor beyond that for which the councilor was elected. (B) the executive council may not, without the approval of the members, specify or change any bylaw provision that would: (I) fix or change the authorized number of councilors; (II) fix or change the minimum or maximum number of councilors; (III) change from a fixed number of councilors to a variable number of councilors or vice versa; (IV) increase or extend the terms of councilors; or (V) increase the quorum for members meetings. Section 2. Approval by members. New bylaws may be adopted or these bylaws may be amended or repealed by approval of the members. No amendment may extend the term of a director beyond that for which the director was elected.”

“Line 11b explanation - the officers, as well as the members of the finance committee, have reviewed the form 990, its schedules and related attachments in detail and have presented the return and their findings to the balance of the governing body for their concurrence”

“Directors and officers are reminded annually of the requirements of the coi policy and are required to disclose conflicts to the board when any matter arises for which a conflict might exist. The coi policy specifies the process for determining whether the member should be recused for purposes of discussion and decision on the matter in question.”

“AAAI reviews and determines the compensation of its key employees annually after a review of the compensation surveys of the Council of Engineering and Scientific Societies (CESSE), the American Society of Association Executives (ASAE northern California chapter), as well as the us government cost of living index for the employees location. This review is conducted by the executive director, and incremental salary increases are given based on a general range decided by the executive director and the president. If a key employee is hired or promoted into a range outside the normal guidelines for that position, the executive director consults with the executive committee on changing the guidelines for that position, and acts in accordance with their recommendation. The president conducts the review of the executive director, following the same procedure as detailed above.”
