“1.) The Board's Finance Committee reviews the annual 990 with the Executive Director, Deputy Director, and Business Manager.2.) Upon Finance Committee approval, the 990 is then presented for approval to the entire board at a bi-monthy board meeting.3.) Upon approval, the Deputy Director finalizes the submission of the 990.”

“The purpose of the conflict of interest policy is to protect the SFFilm's interest when contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of SFFilm or might result in a possible excess benefit transaction.The policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations.Duty to disclose-in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all the material facts to the directors and members of the committees with the governing board delegated powers considering the proposed transaction or arrangement.Determining whether a conflict of interest exists-after disclosure of the financial interest and all material facts, and after an discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon.The remaining board or committee members shall decide if a conflict of interest exists.If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is the SFFilm's best interest, for its own benefit, and wheter it is fair and reasonable.In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.”

“1.) Deputy Director submits to Executive Director annual raise suggestions for all personnel (excluding Deputy Director and Executive Director)2.)Executive Director makes change as needed and determines Deputy Director's raise3.) Executive Director submits raise suggestsions to the Board's Executive Committee.4.) Executive Committee reviews the raise suggestions and evaluates the performance of the Executive Dirctor, basing his/her annual raise on job performance, overall performance of the organization and industry standards. The approved raise amounts are then retruned to the Deputy Director, who finalizes the changes for the following year.”

“The organization's financial statements are available according to the rules and regulations of California nonprofit organizations. Governing documents and conflict of interest policies are made available upon request if and when the organization deems the request reasonable and legal.”
