“Hospice foundation has adopted and implemented policies and procedures to ensure that conflicts of interest are addressed. The annual conflict of interest disclosure form must be updated throughout the year, if a conflict should arise. When a board member has declared a conflict, the board member concerned shall not participate in the discussion, and may, at the discretion of the board be instructed to be absent from the room during the discussion, but available for questioning. The remaining board members shall be able to fully and freely discuss and vote thereon, and all such discussion and votes shall be kept in the strictest of confidence by all present. In either case, the board member concerned will not vote on the matter under discussion and, for purposes of that matter, not be included in the count for a quorum. When a board member completes the conflict of interest disclosure form and after such disclosure the member abstains from voting, that the member shall not be accountable for any profit or advantage made or received as a consequence of a decision of the board to proceed with the contract or transaction. The board shall confirm and approve the proposed contract or transaction as being fair and reasonable to the foundation at the time it is so approved. They shall also acknowledge that the nature and extent of the board member's real or potential conflict has been disclosed in reasonable detail to the board or such committee where the conflict arose. Every declaration of conflict of interest will be recorded in the meeting minutes.”

“The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon request.”

“The foundation director's compensation is paid by an unrelated affiliated organization, kaweah delta health care district (the "district"), a governmental entity. The district provides the time provided by the foundation director to the foundation as a donated service. The foundation does not reimburse the district for these costs so that the foundation may use its contributions towards fulfilling its charitable purposes.”
