Governance Explanations

There is no committee acting on behalf of the Board.

Form 990, Part VI, Section B, line 11B

Initial drafts are reviewed by the President and Treasurer and changes requested are done prior to submitting an acceptable draft to the Audit Committee for review and revised. Once the Audit Committee accepts the revised draft, it is submitted by the Audit Committee to the full Board for review and approval. The Form 990 is submitted to Board by email and whenever possible receives final approval at the next Board meeting. If the Board opts to approve the Form 990 by email, the vote must be unanimous.

Form 990, Part VI, Section B, line 12C

The Governance Committee of the Board is responsible for ensuring compliance with the conflict of interest policy. All Board members are required to sign a conflict of interest statement upon confirmation and at least annually thereafter.

Form 990, Part VI, Section B, line 15

The Governance Committee of the Board conducts a review of the Executive Director's salary in conjunction with each performance evaluation. In doing so, the committee may consult multiple sources of information, including a review of comparable organizations' Form 990 and published salary surveys for nonprofit organizations. The Executive Director has a salary structure document for the organization to assist in determining compensation and FVLC subscribes to the annual FairPayNCA salary and benefits survey so that she can determine comparable in the nonprofit community for similar positions. The Executive Director has reviewed and revised the salary structure based on the increased amount of funds FVLC has received in the last two years from Government sources.

Financial Statement Notes

Part X, Line 2:

FVLC is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by FVLC in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. FVLC's returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed.
