Governance Explanations

Form 990, Part VI, Section A, Line 6

All members and applicants for membership in the organization must meet and maintain the membership criteria established by the cimc by-laws, subject to certification by the by-laws and credentials committee of the california indian manpower consortium, inc. And ratification by the board of directors. The following are deemed eligible for membership, upon proper and timely applicatios as set forth in the cimc by-laws. 1. Federally-recognized american indian tribes, reservations, rancherias, bands, and colonies. 2. Terminated rancherias. 3. American indian groups, entities and organizations: public or private nonprofit agencies whose principal purpose is promoting the economic or social self-sufficiency, education or health of american indians either on or off the reservations or rancherias. The majority of the governing board and membership of each such american indian group, entity or organization must be composed of american indians.

Form 990, Part VI, Section A, Line 7A

The board of directors shall consist of 11 members who shall be known as board members. Four members of the board shall be the officers of the corporation and shall be selected by the membership at large at the regular annual meeting of the membership of the corporation. Each of the remaining seven members of the board shall be geographic service area representatives representing one of the seven geographic service areas, as such service areas are designated from time to time by the board. The term of office of each member shall be four years or until selection of their successors, with terms staggered. The board may, at their disretion, appoint ex-officio members to provide input and/or technical assistance related to the programs operated by cimc. Such ex-officio members do not vote on motions or issues that are considered by the board. Currently, the chair of the cimc native american workforace investment council serves as an ex-officio member.

The rights of evaluating the program and reallocating funds shall be reserved to cicm's members through input to their respective georgraphic service area representative.

The executive director and fiscal manager review the form 990. Prior to its final submission, the form 990 is distributed to the members of the cimc board of directors for review. This is done by e-mail or hard copy if the board member prefers.

Form 990, Part VI, Section B, Line 12C

Cimc regularly monitors its conflict of interest policy in several ways. Careful screening and review of applicant information is conducted to determine if the applicant is related to any officer, board member, staff member or delegate of a member organization. Applicants are provided lists of the board of directors, staff and cimc member signatories, delegates and alternate delegates for review. If such a relationship exists, a waiver must be requested and approved in writing before services/employment can be provided to the applicant. No more than 49% of the persons serving on the board of directors at any one time may be an interested person. An annual statement of certain transactions and indemnifications is required to be made.

Form 990, Part VI, Section B, Line 15A

Periodic compensation reviews are made by the cimc human resources manager. Members of the board of directors share their knowledge of compensation of executive directors or similar staff at comparable organizations. This information is reviewed by the board of directors when they meet with the executive director to negotiate an employment agreement. Such negotiations are made in closed session. The final results of the negotiation are made known for the record after open session resumes and minutes of the board meeting reflect the final decision of the board of directors.
