Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization's accounting firm forwarded the form 990 to the director of finance who in turn forwarded it to the executive director and the finance committee of the board. After review, the form 990 was forwarded to the full board who were encouraged to review it prior to filing. Any questions were sent to the director of finance who either answered the question or contacted the accounting firm for clarification.

Form 990, Part VI, Section B, Line 12C

Next door's conflict of interest policy applies to board members and officers. The executive committee of the board and the executive director determine whether a conflict exists. This group then reviews any acutal conflicts. Should the executive committee make the determination that a conflict exists, those persons involved are excluded from deliberations and voting for approval for matters in which they are involved.

Form 990, Part VI, Section B, Line 15

The executive committee of the board of next door discusses annual salary increases for the executive director as well as the director of finance, director of development, and the director of programs. In its review, the committee takes into account the most recently available survey data regarding executive director salaries and market data, the executive director's performance, and past salary history. After considering all the supporting data, the executive committee determines the annual increase, if any.

Form 990, Part VI, Section C, Line 19

Audited financial statements, governing documents, and conflict of interest policy are available upon request and during normal business hours. Financial statements are available on the organization's website.

Financial Statement Notes

PART X, LINE 2:

Accounting principles generally accepted in the united states of america provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by the organization in its federal and state exempt organization tax returns are more-likelythan-not to be sustained upon examination.
