Governance Explanations

Form 990, Part VI, Section B, Line 11

The organization's accounting firm forwarded the form 990 to the the director of finance who in turn forwarded it to the executive director and the finance committee of the board. After review, the form 990 was forwarded to the full board who were encouraged to review it prior to filing. Any questions were sent to the director of finance who either answered the question or contacted the accounting firm for clarification.

Form 990, Part VI, Section B, Line 12C

Next door's conflict of interest policy applies to board members and officers. The executive committee of the board and executive director determine whether a conflict exists. This group then reviews any actual conflicts. Should the executive committee make the determination that a conflict exists, those persons involved are excluded from deliberations and voting for approval of matters in which they are involved.

Form 990, Part VI, Section B, Line 15

The executive committee of the board of next door discusses annual salary increases for the executive director and director of finance and operations. In its review, the committee takes into account the most recently available survey data regarding comparable salaries and market data, performance, and past salary history. After considering all the supporting data, the executive committee determines the annual increase, if any.

Form 990, Part VI, Section C, Line 19

Audited financial statements, governing documents and conflict of interest policy are available upon request and during normal business hours. Financial statements are available on the website.

Financial Statement Notes

PART X, LINE 2:

Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by the organization in its federal and state exempt organization tax returns are more-likely-than-not to be sustained upon examination. The organization files information returns in the u.s. Federal jurisdiction and state of california. The organization's federal returns for the years ended june 30, 2012 and beyond remain subject to possible examination by the internal revenue service, generally for 3 years after they are filed. The organization's california returns of the tax years ended june 30, 2011 and beyond remain subject to possible examination by the franchise tax board, generally for 4 years after they are filed.
