Governance Explanations

Form 990, Part VI, Section B, line 11B

The draft of the Form 990 is reviewed by the Director of Finance, before being forwarded to the Executive Director and Finance Committee. The Board Treasurer recommends approval and releases to the Board.

Form 990, Part VI, Section B, line 12C

The Board of Directors monitors compliance with the organization's Conflict of Interest Policy by requiring each board member to sign the statement upon joining the board, and by renewing their signature on the document annually.

Form 990, Part VI, Section B, line 15

The Board of Directors take several steps for determining the Executive Director's compensation by: 1) consulting with similar organizations in the field; 2) obtaining salary information via other organizations' 990's; 3) consulting with human resource professionals; 4) consulting with the Executive Recruiter at Center for Non-Profit and Volunteer Leadership; 5) researching the annual Bay Area Wage and Benefit Survey; and 4) an internal evaluation and ranking of positions relative to the duties, responsibilities, and pay of other positions in the organization. The Executive Director determines the salaries of staff by examining competitive wages in the field and San Francisco Bay Area via: 1) interviews with other organizations in the field; 2) salary survey information published via the Wages and Benefits Study published by Nonprofit Compensation Associates, Inc.; 3) local hiring conditions in the San Francisco Bay Area.

Form 990, Part VI, Section C, line 19

The organization's governing documents, conflict of interest policy and financial statements are made available to the public upon request. The Form 990 can be accessed in another organization's website (www.guidestar.org).

Financial Statement Notes

Part V, Line 4:

The funds were provided to create a seed fund and encourage additional permanently restricted contributions. Income from this fund is available to support operations.

Part X, Line 2:

Center for Domestic Peace is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by Center for Domestic Peace in their federal and state exempt organization tax returns are more likely than not to be sustained upon examination. Center for Domestic Peace's returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed.
