Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Determining Whether a Conflict of Interest ExistsAfter disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.Procedures for Addressing the Conflict of Interesta. An interested person may make a presentation at the governing board or committeemeeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.b. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.c. After exercising due diligence, the governing board or committee will determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.d. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organizations best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement in accordance with established board policies and procedures.

A Board committee reviews the compensation package of the Executive Director and presents to the full Board for approval.

Line 15aApproximately every three years, the Child Care Council does a compensation study, comparing its salaries to salaries of other non profits. Based on the findings of this study, salary ranges are set for all positions including the position of Executive Director.Annually the Board of Directors conducts a performance review of the Executive Director and determines what, if any, salary increase they wish to give the Executive Director staying within the predetermined salary range for the position.

Form 990, Part III, Line 4D: Other Program Services Description

OTHER PROGRAM SERVICES 4: Learning Institute & Other Programs: The Learning Institute works with parents, children and child care providers to improve the quality of care and early education and strengthen early learning communities. Its training and support services include: the Inclusion Project that serves children with special needs while providing support to their families and training to their child care providers, the Road to Success project in conjunction with Resource & Referral to help start and sustain licensed family child care businesses, and the Innovations in Quality (IQ) Program, which encompasses professional development, training and support for child care providers seeking to improve the quality of their child care programs. The Learning Institute leads the Child Care Council's training efforts in what will be the 22nd Annual Early Learning Conference in spring 2016.

Financial Statement Notes

Part X : FIN48 Footnote

The Council has adopted Financial Accounting Standards Board Accounting Standards Codification (ASC) Section 740-10, which clarifies the accounting for uncertainty in income taxes. ASC Section 740-10 prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. ASC Section 740-10 requires that an organization recognize in the financial statements the impact of the tax position if that position will more likely than not be sustained on audit, based on the technical merits of the position. As of and for the year ended June 30, 2015, the Council had no material unrecognized tax benefits, tax penalties or interest. The Councils Forms 990, Return of Organization Exempt from Income Tax, for the tax years ending June 30, 2014, 2013, and 2012, are subject to examination by the IRS, generally for 3 years after they were filed.

With practical tools like the CHOICE manual and training from Council specialists, child care programs are able to build and strengthen nutrition and physical activity policies and practices. In the fight against hunger, the Child Care Food Program helps to reimburse family child care providers for the cost of serving nutritious meals and snacks to the children in their care. Healthy, well-nourished children are ready to learn.The Contra Costa Child Care Council serves as the fiscal agent for Healthy Active and Before 5 and is pleased to be part of its countywide efforts, executive team, and strategic partnerships with over 50 community organizations.

Its training and support services include: the Inclusion Project that serves children with special needs while providing support to their families and training to their child care providers, the Road to Success project in conjunction with Resource & Referral to help start and sustain licensed family child care businesses, and the Innovations in Quality (IQ) Program, which encompasses professional development, training and support for child care providers seeking to improve the quality of their child care programs. The Learning Institute leads the Child Care Council's training efforts in what will be the 22nd Annual Early Learning Conference in spring 2016.
